RESOLUTION NO. 2013- 049 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM APPROVING CONVEYANCE OF CITY -OWNED PROPERTY LOCATED AT 1929 THROUGH 1937 SOUTH MANCHESTER AVENUE WHEREAS, the City of Anaheim ( "City ") owns the 0.62 acre property located at 1929- 1937 South Manchester Avenue, more particularly described in the legal descriptions attached hereto as Exhibits A and C, and depicted on the plat maps attached hereto as Exhibits B and D ( "City -Owned Property "); WHEREAS, the City acquired the City -Owned Property in connection with its implementation and construction of The Gene Autry Way (West) /I -5 HOV Interchange Project ( "Project "); WHEREAS, the Project, as proposed, contemplates the conveyance of the City -Owned Property to the owner of the adjacent Holiday Inn and Staybridge Suites site located at 1855- 1925 South Manchester Avenue ( "Hotel Site "), for the purpose of mitigating the impacts to parking spaces on the Hotel Site attributable to the City's acquisition of a portion of the Hotel Site's parking lot for the construction of the Project; WHEREAS, the conveyance of the City -Owned Property, as proposed, requires a reservation of easements in favor of the City through portions of the City -Owned Property, including: (1) maintenance and access easements on, over and through the areas described in Exhibit E attached hereto and depicted in Exhibit F attached hereto ( "Maintenance Easement "); (2) wall easements on, over and through the area described in Exhibit G attached hereto and depicted on Exhibit H attached hereto ( "Wall Easement "); and (3) subsurface foundation and utility easements on, under and through the areas described in Exhibit I attached hereto and depicted on Exhibit J attached hereto ( "Subsurface Easement "); WHEREAS, the construction and use of the Project resulted in impacts to 142 parking spaces formerly in existence on the Hotel Site; WHEREAS, the City, in connection with its construction and implementation of the Project, constructed 62 new parking spaces on the Hotel Site and an additional 83 parking spaces on the City -Owned Property proposed to be conveyed to the owner of the Hotel Site, combining for a total of 145 new parking spaces to replace the 142 existing parking spaces impacted as a result of the Project; WHEREAS, the City Council met on March 26, 2013, to consider whether the proposed conveyance of the City -Owned Property to the owner of the Hotel Site would be in compliance with Section 1222 of the Anaheim City Charter governing the sale and disposition of municipal property in the City; WHEREAS, Section 1222 of the Anaheim City Charter generally requires the sale, transfer, exchange or conveyance of municipal property having a market value in excess of 560/012377 -0108 5171439.2 a03/19/13 $50,000 to be sold to the "highest bidder after notice by publication in the official newspaper of the City" (the "Public Bidding Process "); WHEREAS, Section 1222 of the Anaheim City Charter sets forth an exception to the Public Bidding Process where the sale, transfer, exchange or conveyance of municipal property having a market value in excess of $50,000 is "in the best interest of the City, and the same is authorized [by] the affirmative votes of at least two - thirds of the total members of the City Council "; WHEREAS, the City Council now finds and determines: 1. The market value of the City -Owned Property exceeds $50,000; 2. The conveyance of the City -Owned Property to the owner of the Hotel Site is in the best interest of the City. The best way to feasibly mitigate the loss of parking on the Hotel Site attributable to the Project is to convey the City -Owned Property to the owner of the Hotel Site, to be assembled with the Hotel Site for hotel parking. Without such conveyance, the Project could result in a loss of approximately 80 parking spaces previously in existence on the Hotel Site. The loss of these parking spaces, unmitigated, would leave the Hotel Site with fewer parking spaces than needed to meet the parking demand generated by the operations of the Hotel Site, as analyzed and determined in connection with the land -use approvals obtained in connection with the original development of the Hotel Site. In addition, the loss of parking spaces occasioned by the Project, if unmitigated, may also expose the City to additional monetary claims and damages asserted by the owner and operator of the Hotel Site; and 3. The sale of the City -Owned Property through the Public Bidding Process is not in the best interest of the City. The City -Owned Property is impaired both in terms of size and shape as a stand -alone piece. The Public Bidding Process could result in the sale of the City - Owned Property to a third -party not affiliated with the Hotel Site. The conveyance of the City - Owned Property to anyone other than the owner of the Hotel Site would hinder the City's ability to mitigate the loss of parking on the Hotel Site attributable to the Project, and frustrate completion of the Project in the manner proposed. WHEREAS, the City Council has determined that the conveyance of the City -Owned Property to the owner of the Hotel Site satisfies the requirements of Section 1222 of the Anaheim City Charter in that such conveyance is in the best interest of the City. NOW, THEREFORE, BE IT RESOLVED that the City Council does hereby authorize and approve the conveyance of the City -Owned Property, more particularly described in Exhibits A and C attached hereto and depicted in Exhibits B and D attached hereto, to the fee owner of the Hotel Site. Such conveyance is consistent with the Project, as proposed, and shall contain the following easement reservations in favor of the City, to assure continuity with the easements being acquired on the adjacent Hotel Site: (1) Maintenance Easement. The maintenance easement is a permanent, non- exclusive easement on, over, and through the real property in the City of Anaheim, County of Orange, State of California described in Exhibit E attached hereto and depicted on Exhibit F attached hereto, to pass on, over and through the described easement area, and to bring the 560/012377 -0108 5171439.2 a03/19113 -2- necessary tools, equipment, and personnel thereon, for the purposes of inspecting, maintaining, operating, repairing, or replacing the retaining wall, consistent with the approved construction plans for the Project, and all other uses appurtenant thereto. The Maintenance Easement shall permit the holder thereof reasonable surface access to the described easement area, to come upon such area and to bring such equipment thereon as may be reasonably necessary to effectuate its purposes, upon reasonable notice except in the case of an emergency, and shall prohibit the holder of the servient tenement from the placement, erection or maintenance of structures over the described easement area, except that such area may be landscaped in areas unpaved by the Project, paved for the travel or parking of vehicles, or used for the storage or placement of moveable personal property, equipment or appurtenances. (2) Wall Easement. The Wall Easement is a non - exclusive, permanent easement on, over, and through the real property in the City of Anaheim, County of Orange, State of California described in Exhibit G attached hereto and depicted on Exhibit H attached hereto to bring necessary tools, equipment, and personnel thereon, for the erection, placement, construction, maintenance, repair, and operation on the described easement area a retaining wall, consistent with the approved construction plans for the Project, and all other uses appurtenant thereto, or place, maintain, or construct structures or landscaping over the described easement. (3) Subsurface Easement. The Subsurface Easement is a permanent, non - exclusive easement on, under, and through the real property in the City of Anaheim, County of Orange, State of California described in Exhibit I attached hereto and depicted on Exhibit J attached hereto for the erection, placement, construction, maintenance, repair, and operation on the described easement area of subsurface footings to support a retaining wall, consistent with the approved construction plans for the Project, and all other uses appurtenant thereto. The Subsurface Easement shall permit the holder thereof reasonable surface access to the subsurface area of the described easement area, to come upon such area and to bring such equipment thereon as may be reasonably necessary to construct, erect, place, or repair the wall footings thereon, upon reasonable notice except in the case of an emergency, and shall prohibit the holder of the servient tenement from the placement, erection, or maintenance of structures including a utility easement for electrical purposes, over the described easement area, except that such area may be landscaped in areas unpaved by the Project, paved for the travel or parking of vehicles, or used for the storage or placement of moveable personal property, equipment or appurtenances. Please be advised that the City has been refining its parking analysis, in a manner to maximize the available parking to be used by the Holiday Inn property, both during construction and after construction of the Gene Autry project. Enclosed with this letter are copies of the schematic parking plans for the various phases anticipated of construction. These plans were not received by the City until January 16, 2009, and therefore I was unable to provide them to you as of your January 14, 2009 letter. This refined parking analysis must be considered by the appraiser, and the review appraiser, in assessing potential severance damages to the property from the taking and construction of the project in the manner proposed. Our present estimate for when the appraisal and review appraisal will be completed is February 17, 2009. Please be advised thin is only an estimate, and not a promised delivery date to the City. In addition, 1 need to clarify a misstatement in your January 14, 2009 letter. I have not informed you that the precondemnation offer is completed. I had advised you that I had a draft letter ready to go once the appraisal is completed, and that I did not anticipate any type of protracted delay between the delivery date of the appraisal and the issuance of the offer. Since receiving your letter, the City has been working on the funding issues you have questions about, and wanted to have a clearer picture of the status before responding. In your letter, you also requested information regarding the schedule of project construction. As has been conveyed to your attorneys in the pending property acquisition lawsuit, City of Anaheim v. HPT IHG -2 Properties Trust, Case No. 30- 2009 - 00125412, the City anticipates construction to begin on this project this summer. The City is still in the process of refining specific bidding, award, and mobilization dates, and will advise you once they are clarified. You have also requested information regarding the funding of the project. Funding for the acquisition of the rights -of -way for this project has already been approved, and secured, through the City's cooperation with the Orange County Transportation Authority. 1t is not at all unusual in the City's experience for right -of -way acquisitions to predate, by months or even years, actual construction activity, particularly on larger projects. This is such a project. The total revised cost for the project is approximately Seventy- Two Million Dollars ($72,000,000.00). The City is currently awaiting OCTA's approval of an additional Nineteen Million Dollars ($19,000,000.00) of construction funds, which when added to additional matching funds of 3.9 Million Dollars ($3,900,000.00) from the City and 10.6 Million Dollars ($10,600,000.00) of secured grant funds, should provide the final funding necessary to allow construction to proceed, once all authorization has been given by the Federal Highway Administration. If this funding is not approved, the City still anticipates the project will proceed, though alternative funding sources will have to be utilized. It is true that the City had anticipated construction on this matter to begin earlier, but redesign of the project in certain particulars, including those relating to reduced footings for retaining walls, and other measures designed to minimize impacts on adjacent property owners, have resulted in delays. If this is approved, the City will take the project plans out to bid, and will be able to provide a more definitive construction schedule. I appreciate your interest in our construction, and will reiterate the request made numerous times, to receive your input on the City's phased parking plan, designed to provide both interim and permanent replacement parking for the site during and after project construction. Such input has been requested from your attorneys .from January, 2009 to the present, and in the absence of input from you, the City has designed this parking in the manner it believes is the most efficient and feasible way possible. Your input was helpful in the emergency access dialogue that occurred in the context of the possession order discussions, and through that 1 hope you appreciated that the City is willing to try to modify its plans to accommodate your operational needs, once such needs are made known. If you have any constructive suggestions on how the parking plan might be improved for your purposes, I would welcome your input. In addition, the issues on funding have allowed an opportunity on the project's design, that the City believes may be of interest to you. At the far easterly end of the property, grade differentials are such that there may be an opportunity for a direct curb cut, providing vehicular access from the project's new roadway to your site. The City is willing to look at a potential modification to the present project design to provide such an access. This would result in the loss of certain parking spaces, however, such that there is both a cost and benefit to be weighed in assessing•this potential alternative design. The City would like to engage you in a discussion of how such an access might be constructed, and 1 invite you or your representative to contact me to go over both the opportunities and constraints of this potential alternative design. Please contact me on this matter at your earliest convenience if you would be interested in having the City explore this matter, since we need to know from your operational standpoint how the balance between added access, but more limited parking, affects you.
