A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
ANAHEIM ACCEPTING A DEED CONVEYING TO THE CITY
OF ANAHEIM CERTAIN INTERESTS IN REAL PROPERTIES
(CITY DEED NO. 11908).
WHEREAS, a deed has been presented to the City of Anaheim (hereinafter, "CITY"
or "Anaheim") which is described in Exhibit "A" and in the form of Exhibit "B", attached hereto and
incorporated herein by reference ("DEED"); and,
WHEREAS, Exhibit "A" contains the following description of the DEED: the
grantors, property interests conveyed and locations of the property interests; and,
WHEREAS, the grantor of the DEED has offered to convey to the CITY certain real
property interests in connection with their development project; and,
WHEREAS, the DEED and the real property interests therein will assist the CITY in
providing utility services to grantor's property; and,
WHEREAS, based on the foregoing, the Anaheim City Council does hereby find and
determine that it is in the best interests of the CITY to accept the DEED.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Anaheim as follows:
1. The DEED and the real property interests contained therein are hereby
accepted by the CITY.
2. Nothing herein shall be construed to be an acceptance of any parcel or
property into the CITY street system (Streets and Highways Code, Section 1806).
3. The Mayor is authorized and directed to execute the DEED in substantially
the form attached to Exhibit "B".
4. The City Clerk is authorized and directed to cause the DEED to be recorded
in the Office of the County Recorder of the County of Orange.
THE FOREGOING RESOLUTION is approved and adopted by the City Council of the City

FOR A VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, LA PALMA/MILLER
PHASE III, LLC, a Delaware limited liability company ("Grantor") HEREBY GRANTS to the CITY OF ANAHEIM, a
municipal corporation ("Grantee") a non-exclusive easement for public utility and telecommunication purposes to
construct, reconstruct, install, replace, reconfigure, operate, maintain, repair, relocate, remove, inspect, observe, and
study Grantee's public utility and telecommunication facilities, equipment, and related appurtenances in, on, over,
under, upon, above, along and across the land in the City of Anaheim, County of Orange, State of California, described
in Exhibit A attached hereto and incorporated by reference herein ("Easement Area"), together with the right to utilize
the Easement Area for ingress and egress to enter onto and exit the Easement Area with such vehicles, machinery, and
equipment as may be necessary or convenient to the construction, reconstruction, installation, replacement,
reconfiguration, operation, maintenance, repair, relocation, removal, inspection, observation, and study of said facilities,
equipment, and appurtenances.
Except as otherwise expressly provided herein, Grantor and Grantee each have the right to prevent any activity
on or use of the Easement Area that (a) is inconsistent with their respective rights under this Easement Deed; (b)
unreasonably interferes with or is harmful to the rights of the other provided herein; or (c) unreasonably interferes with
or is harmful to their respective facilities. Grantor and Grantee hereby agree to cooperate in good faith and not to use or
allow the use of the Easement Area in such a way as to impede, harm, or interfere with (i) their respective rights
hereunder; or (ii) their respective facilities. Grantee will backfill to grade, and pay reasonable cost's of removal, repair or
restoration, of grass, landscaping, curb, gutter, concrete or asphalt damaged by Grantee or damaged by work
performed by Grantee in furtherance of the rights granted herein.
1. RESERVATION. Subject to rights and obligations set forth above, Grantor hereby reserves perpetual
access rights across, through, under, and over the Easement Area for the purposes of (a) obtaining access to any above -

surface or below surface facilities of Grantor, (b) access to Grantor's adjacent lands, and (c) for pedestrian and vehicular
ingress and egress and roadway purposes;provide however, Grantor shall not unreasonably interfere with the rights
granted under the first two paragraphs of this Easement Deed. Grantor hereby reserves the right to modify the location of
the Easement Area from time to time, at Grantors sole cost and expense, so long as such relocation does not unreasonably
interfere with the public utility and telecommunication services provided by Grantee and prior to such relocation Grantor
shall have obtained Grantee's prior written approval of such relocated Easement Area (which relocated Easement Area
shall be mutually acceptable to Grantor and Grantee). Any such relocation shall be evidenced by an amendment to this
Easement Deed.
2. COMPLIANCE WITH REGULATORY AUTHORITIES. In connection with Grantee's use of or
performance of any activities permitted to be conducted in, on, over, or across the Easement Area, Grantee shall, at its own
cost and expense, promptly and at all times observe, comply with and carry out all orders, regulations, directions, rules,
laws, ordinances, permits and requirements of all governmental authorities with jurisdiction in, on, over and about the
Easement Area.
3. TERMINATION OR ABANDONMENT. Grantee agrees that in the event Grantee's use of the Easement
Area ceases for a continuous period of more than one (1) year and Grantee fails to provide Grantor written notice of such a
cessation; Grantor shall provide Grantee written notice and evidence of the cessation. If Grantee does not dispute the
written notice and evidence of cessation within thirty (30) days of Grantor's notice, Grantee shall, at Grantor's request,
execute and deliver to Grantor for recordation in the Official Records of Orange County, California, a Quitclaim Deed
sufficient to remove the encumbrance of this Easement Deed from title. Any written notice under this Paragraph 3 from
Grantor to Grantee shall be provided to the Public Utilities General Manager at City of Anaheim, 201 South Anaheim Blvd.,
Suite 1101 Anaheim, CA 92805,
4. MAINTENANCE, NOTICE OF WORK PERFORMED. Grantee shall, at its sole cost and expense,
maintain in good repair and safe condition all Grantee's facilities and equipment installed and constructed in the
Easement Area. To the extent Grantee conducts construction or excavation activities or otherwise disturbs the surface
of the Easement Area, Grantee shall notify Grantor in writing of the same, with such notice being provided in advance,
concurrently or promptly following such work as is reasonably practicable under the circumstances,
5. SUCCESSORS. This Easement Deed, and all of the terms, conditions and provisions herein, shall
inure to the benefit of, and be binding upon, Grantor, Grantee, and their respective successors, transferors, and
assigns.
6. GOVERNING LAW. This Easement Deed and the performance thereof shall be governed, interpreted,
construed, and regulated by the laws of the State of California; and in the event of any dispute resulting in litigation, the
venue of such litigation shall be in Orange County, California.
7. AUTHORITY. Each individual executing this Easement Deed on behalf of an entity represents and
warrants that he or she has been authorized to do so by the entity on whose behalf he or she executes this Easement
Deed and that said entity will thereby be obligated to perform the terms of this Easement Deed.

SUBORDINATION
This SUBORDINATION is dated as of September 3, 2015 (this "Subordination"), is executed by
JPMORGAN CHASE BANK, N.A., a national banking association ("Lender"), and FIRST AMERICAN
TITLE INSURANCE COMPANY, a Nebraska corporation ("Trustee"), is made with reference to the
following Recitals.
A. Prior to the date hereof, Lender has made a construction loan to LA PALMA/MILLER
PHASE III, LLC, a Delaware limited liability company ("Grantor"), which loan is secured by (1) that certain
Construction Deed of Trust and Security Agreement (with Assignment of Rents) dated as of January 12,
2015 and recorded January 13, 2015 as Instrument No. 2015-000012493 in the Official Records (the "Deed
of Trust"), executed by Grantor, as trustor, naming Trustee, as trustee, to and for the benefit of Lender, as
beneficiary, and (b) that certain Assignment of Leases and Rents dated as of January 12, 2015 and
recorded January 13, 2015 as Instrument No. 2015-000012494 in the Official Records (the "Assignment"),
executed by Grantor, as assignor, in favor of Lender, as assignee.
B. Grantor is recording that Easement Deed dated of even date herewith and to which this
Subordination is attached (the "APU Easement").
C. Grantor, Lender and Trustee desire to expressly subordinate the Deed of Trust and the
Assignment to the terms and conditions of the APU Easement.
NOW, THEREFORE, in consideration of the foregoing Recitals (which are incorporated herein by
this reference), the mutual covenants contained in this Subordination and for other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agrees as
follows:
1. Definitions. All initially -capitalized terms not otherwise defined in this Subordination shall
have the meanings set forth in the APU Easement, unless the context clearly indicates otherwise.
2. Subordination. Lender and Trustee hereby expressly subordinate the Deed of Trust and
the Assignment to the terms and provisions of the APU Easement and from and after the date of this
Subordination, the Deed of Trust and the Assignment shall be subject to and subordinate to the terms and
provisions of the APU Easement as if the APU Easement had been recorded prior to the Deed of Trust and
the Assignment.
3. Recognition of Lender. Grantor and Grantee hereby acknowledge and agree that the
property upon which the Easement Areas are located (the "Property") is encumbered by the Deed of Trust
and the Assignment.
