RESOLUTION OF THE ANAHEIM REDEVELOPMENT
AGENCY APPROVING THE DISPOSITION AND
DEVELOPMENT AGREEMENT BY AND BETWEEN THE
AGENCY AND WESTERN MEDICAL CENTER/ANAHEIM
AND FURTHER APPROVING THE AGREEMENT FOR
AQUISITION OF REAL PROPERTY BETWEEN THE
AGENCY AND STEFFY BUICK COMPANY
WHEREAS, the Anaheim Redevelopment Agency (the "Agency") is a community
redevelopment agency organized and existing under the Community Redevelopment Law,
Health and Safety Code Section 33000, et seq.; and
WHEREAS, in order to carry out and implement the Redevelopment Plan for the
Agency's Commercial/Industrial Redevelopment Project, the Agency and Western Medical
Center/Anaheim, a California nonprofit corporation (the "Developer"), propose to enter into a
Disposition and Development Agreement (the "DDA), which DDA among other things
provides for the conveyance of certain real property (the "Site) to the Developer; and
WHEREAS, the Site is currently owned by Steffy Buick Company, a California
corporation (the "Owner); and
WHEREAS, the Agency and the Owner propose to enter into an Agreement For
Acquisition of Real Property (the "Acquisition Agreement"), pursuant to which the Agency
would purchase the Site under the terms and conditions set forth therein; and
WHEREAS, the Agency and the Developer desire by the proposed DDA for the
Agency to agree to acquire the Site from the Owner pursuant to the Acquisition Agreement and
to simultaneously convey the Site to the Developer, and for the Developer to agree to construct
either a medical office building thereon or to expand the hospital owned and operated by the
Developer on the parcel immediately south of the Site (the "Improvements"); and
WHEREAS, the Agency's acquisition of the Site from the Owner would be financed
by funds from the Owner and would not require the expenditure of any tax increment funds
allocated to the Agency: and
WHEREAS, the Agency has conducted a duly noticed public hearing on the DDA
and has evaluated all information and testimony presented in such hearing; and
WHEREAS, the development of the Improvements as contemplated in the DDA is
within the scope of the development which was studied in the Environmental Impact Report
which was certified on December 14, 1993, by the City Council by Resolution No. 93R-240
and by the Agency by Resolution No. ARA93-31, in connection with the adoption of the
Commercial/Industrial Redevelopment Project (the "Project EIR"); and
WHEREAS, the Developer has submitted to the Agency basic concept drawings
depicting and describing the development of a medical office building upon the Site; and

WHEREAg, the Agency has duly considered all terms and conditions of the
proposed DDA and the proposed Acquisition Agreement and believes that the acquisition of the
Site pursuant to the Acquisition Agreement and the development of the Site pursuant to the
DDA is in the best interests of the Agency and the City and the health, safety, and welfare of
its residents, and in accord with the public purposes and provisions of applicable State and
local law requirements.
NOW THEREFORE, THE ANAHEIM REDEVELOPMENT AGENCY DOES
RESOLVE AS FOLLOWS:
Section 1. The Agency hereby finds that the development proposed pursuant to the
DDA is within the scope of the Project EIR, and no changes have occurred which would
require the preparation of a subsequent or supplemental environmental impact report pursuant
to the California Environmental Quality Act with respect to such development. The Secretary
of the Agency is hereby authorized and directed to file a Notice of Exemption pursuant to
Section 15062 of the CEQA Guidelines.
Section 2. The Acquisition Agreement is approved. The Chairman of the Agency is
hereby authorized to execute the Acquisition Agreement on behalf of the Agency. A copy of
the Acquisition Agreement when executed by the Agency shall be placed on file in the office of
the Secretary of the Agency.
Section 3. The DDA is approved. The Chairman of the Agency is hereby authorized
to execute the DDA on behalf of the Agency. A copy of the DDA when executed by the
Agency shall be placed on file in the office of the Secretary of the Agency.
Section 4. The Executive Director of the Agency (or her designee) is hereby
authorized, on behalf of the Agency, to sign all documents necessary and appropriate to carry
out and implement the Acquisition Agreement and the DDA and to administer the Agency's
obligations, responsibilities and duties to be performed under the Acquisition Agreement and
the DDA.
Section 5. The Basic Concept Drawings submitted by the Developer for the
development of a medical office building upon the Site are hereby approved pursuant to
Section 302 of the DDA.
Section 6. The Agency Secretary shall certify to the adoption of this Resolution.
