A RESOLUTION OF THE ANAHEIM REDEVELOPMENT AGENCY
APPROVING THE PROPOSED SALE OF CERTAIN REAL PROPERTY IN
REDEVELOPMENT PROJECT ALPHA; APPROVING THE PROPOSED
DISPOSITION AND DEVELOPMENT AGREEMENT PERTAINING
THERETO; AND AUTHORIZING EXECUTION OF SAID DISPOSITION
AND DEVELOPMENT AGREEMENT
WHEREAS, the Anaheim Redevelopment Agency ("Agency") is
engaged in activities necessary to execute and implement the
Redevelopment Plan (the "Redevelopment Plan") for Redevelopment
Project Alpha (the "Project"); and
WHEREAS, in order to implement the Redevelopment Plan,
as amended, the Agency proposes to sell, pursuant to the terms
and conditions of a Disposition and Development Agreement,
certain real property (the "Sites"), as described in Attachment
1, located within the Project; and
WHEREAS, VINEYARD HISTORIC HOMES (the "Developer"), a
California general partnership formed as of September 17, 1990,
by Granger Development Corporation and the Anaheim Historic
Preservation Foundation, a California non-profit public benefit
corporation, has submitted to the Agency a written offer in the
form of said Disposition and Development Agreement to purchase
the Sites at a fair and equitable price in accordance with
covenants and conditions governing the sale for uses in
accordance with the Redevelopment Plan; and
WHEREAS, the proposed Disposition and Development
Agreement contains all the provisions, terms, conditions, and
obligations required by State and local law; and
WHEREAS, the Developer possesses the qualifications and
financial resources necessary to acquire and ensure development
of the Sites in accordance with the purposes and objectives of
the Redevelopment Plan; and
WHEREAS, the Anaheim Historic Preservation Foundation
has represented to the Agency that it intends to use its
proceeds resulting from the sale of the Sites for the
rehabilitation and preservation of property and neighborhoods
within the City of Anaheim, including surveying and cataloging
historic properties and districts, establishing an information
and education program for Anaheim schools and community groups,
and providing loans and grants to property owners for the
rehabilitation and repair of historic structures in an historic
manner; and
WHEREAS, pursuant to such provisions of the California
Community Redevelopment Law, the Agency and the City Council of
the City of Anaheim (the "city Council") held a joint public
hearing on the proposed sale of the Sites and the proposed
Disposition and Development Agreement; and

WHEREAS, pursuant to such provisions of the California
Community Redevelopment Law, the City Council, following such
joint public hearing, has found and determined that the
consideration for which the Sites are to be sold is below fair
value but is deemed appropriate, given the benefits to the
community provided under the Agreement. The purchase price has
been set at an amount which will permit: 1) preservation of the
properties, and 2) generate funds for use by the Anaheim
Historic Preservation Foundation for its programs. The
Foundation has represented to the Agency that it intends to use
the proceeds for the rehabilitation and preservation of property
and neighborhoods within the City of Anaheim, including
surveying and cataloging historic properties and districts,
establishing an information and education program and providing
grants and loans to property owners for the rehabilitation and
preservation of historic structures; and
WHEREAS, the Community Redevelopment Commission of the
City of Anaheim has reviewed said proposed Disposition and
Development Agreement and has recommended its approval by the
City Council and the Agency; and
WHEREAS, the Agency has certified that it has reviewed
and considered the Initial Study with respect to the proposed
Disposition and Development Agreement and has determined that no
Negative Declaration, Subsequent Environmental Impact Report,
Supplement, or Addendum to the FSEIR is required in connection
with the proposed sale and development of the Sites; and
WHEREAS, the Agency has duly considered all terms and
conditions of the proposed sale and finds that the development
of the Sites pursuant to the proposed Disposition and
Development Agreement is in the best interest of the city and
the health, safety, morals, and welfare of its residents; is in
accord with the public purposes and provisions of applicable
State requirements and is necessary to effectuate the
Redevelopment Plan.
NOW, THEREFORE, BE IT RESOLVED BY THE ANAHEIM
REDEVELOPMENT AGENCY, AS FOLLOWS:
1. The sale of the Sites by the Agency to the
Developer and the Disposition and Development Agreement which
establishes the covenants and conditions for the sale and
development of the Sites and the conceptual drawings as
presented are hereby approved.
2. The Chairman is hereby authorized to execute the
Disposition and Development Agreement on behalf of the Agency
and the Director of Community Development is hereby authorized
to take all steps, and to sign all other documents and
instruments (including but not limited to the Grant Deeds)
necessary to implement and carry out the Disposition and
Development Agreement on behalf of the Agency.

BE IT FURTHER RESOLVED that the Chairman and th~
Secretary are hereby authorized and directed to execute said
Agreement on behalf of the Anaheim Redevelopment Agency.
THE FOREGOING RESOLUTION is approved and adopted by the
Anaheim Redevelopment Agency this 25th day of September ,
