A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF A/qAI~EIM APPROVING, AUTHORIZING AND
DIRECTING EXECUTION OF A CERTAIN '~PURCHASE AND
SALE AGREEMENT AND JOINT ESCROW INSTRUCTIONS"
AND RELATED DOCUMENTS AND AUTHORIZING AND
DIRECTING CERTAIN ACTIONS WITH RESPECT THERETO
WHEREAS, the Anaheim Memorial Medical Center, a
California nonprofit corporation ("Seller") is the fee simple owner
of certain real property and improvements located at 8201 East
Santa Ana Canyon Road, Anaheim, California (the "Property"); and
WHEREAS, the City of Anaheim requires facilities for a
police station in the vicinity of the Property; and
WHEREAS, the City holds funds identified for acquisition
of the Property as a police station facility from assessments
collected under Community Facilities Districts 1989-1, 1989-2 and
1989-3 pursuant to the provisions of the Mello-Roos Community
Facilities Act of 1982 (the "Mello-Roos Funds"); and
WHEREAS, at an election on October 15, 1998, the owners
of property within each of those districts have authorized use of
the Mello-Roos Funds on the terms and conditions set forth in the
Purchase and Sale Agreement and Joint Escrow Instructions dated for
reference purposes as of August 1, 1998 (the "Purchase and Sale
Agreement"); and
WHEREAS, there has been presented to this Council the
Purchase and Sale Agreement, the form of an agreement entitled
"Assignment and Assumption of Intangible Property", and the
~General Provisions" of the escrow holder (collectively, the
~Transaction Documents").
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Anaheim as follows:
Section 1. The form, terms and provisions of each of the
Transaction Documents in substantially the form presented at this
meeting are hereby approved, and the Mayor is hereby authorized and
directed to execute each of the Transaction Documents with such
non-substantial changes and insertions therein as may be necessary
to cause the same to carry out the intent of this Resolution and as
are approved by the City Attorney, such approval to be conclusively
evidenced by the execution thereof, and to execute an acceptance to
the Grant Deed of Seller in a form approved by the City Attorney.
Section 2. All acuions taken by the City Manager or his
designee with respect to the transaction described in the
Transaction Documents are hereby approved, confirmed and ratified,
and the City Manager (or his designee) is hereby authorized and
