A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM
AS THE SUCCESSOR AGENCY TO THE ANAHEIM REDEVELOPMENT
AGENCY AUTHORIZING THE CITY MANAGER, OR DESIGNEE, TO
EXECUTE AND ADMINISTER LICENSES AND RIGHT OF ENTRY
AGREEMENTS ALLOWING FOR TEMPORARY BENEFICIAL USE OF
REAL PROPERTY ASSETS UNTIL SUCH TIME AS THESE
PROPERTIES ARE READY FOR DISPOSITION OR DEVELOPMENT
WHEREAS, prior to February 1, 2012, the Anaheim Redevelopment Agency (herein
referred to interchangeably as the "Agency" or the "dissolved Agency") was a community
redevelopment agency duly organized and existing under the California Community
Redevelopment Law (Health and Safety Code Sections 33000 et seq.), and was authorized to
transact business and exercise the powers of a redevelopment agency pursuant to action of the City
Council ("City Council") of the City of Anaheim ("City"); and
WHEREAS, Assembly Bill xl 26, which was passed by the California State legislature,
approved by the Governor on June 28, 2011, and chaptered by the Secretary of State on June 29,
2011, added Parts 1.8 and 1.85 to Division 24 of the California Health and Safety Code, which
laws caused the dissolution and wind down of all redevelopment agencies (herein referred to as
the "Dissolution Act"); and
WHEREAS, on December 29, 2011, in the petition California Redevelopment Association
v. Matosantos, the California Supreme Court upheld the Dissolution Act, which had the effect of
dissolving all redevelopment agencies in California as of and on February 1, 2012; and
WHEREAS, as of, February 1, 2012, the Agency became a dissolved community
redevelopment agency pursuant to the Dissolution Act; and
WHEREAS, by Resolution No. 2012-001, considered and approved by the City Council
at an open public meeting on January 10, 2012, the City Council elected to have the City serve as
the "Successor Agency" to the dissolved Agency under the Dissolution Act, thereby assuming all
authority, rights, powers, duties and obligations previously vested with the Agency under the
California Community Redevelopment Law, effective upon dissolution of the Agency on February
1, 2012; and
WHEREAS, the Successor Agency is the owner of real property sites within the City of
Anaheim that are currently unused and held as part of the Successor Agency's real property assets
for the purpose of future development projects; and
WHEREAS, following the dissolution of the Anaheim Redevelopment Agency, the City
Council, serving as, and on behalf of the Successor Agency authorized the Executive Director of
the Community Development Department to represent the City in matters pertaining to the
Redevelopment Dissolution Act pursuant to Resolution No. 2012-105; and

WHEREAS, Resolution No. 2012-105 was rescinded by action of the Successor Agency
pursuant to Resolution No. SA-2022-001 which also provided for delegation of certain authority
to the City Manager regarding Successor Agency related property dispositions; and
WHEREAS, the Successor Agency now desires to authorize the City Manager, or
designee (herein referred to as the "City Manager"), to take certain actions for and on behalf of the
Successor Agency, in the manner hereinafter provided in order to provide for the productive
temporary use of the Successor Agency's real property assets.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL, SERVING AS
AND ON BEHALF OF THE SUCCESSOR AGENCY TO THE ANAHEIM
REDEVELOPMENT AGENCY, AS FOLLOWS:
Section 1. The City Council hereby finds and determines that the foregoing recitals are
true and correct and are a substantive part of this Resolution.
Section 2. The City Manager is authorized and directed for and on behalf of the
Successor Agency to enter into License Agreements or similar instruments allowing for the
temporary use of a real property asset owned by the Successor Agency during such time preceding
disposition or development, subject to the approval of the Oversight Board, when applicable, and
in compliance in all respects with the requirements of the Dissolution Act, as Amended, and any
other applicable laws and regulations, provided that such agreements include the following terms:
a. the term of the agreement shall not exceed one (1) year;
b. the agreement shall be subject to termination without cause upon notice not
to exceed ninety (90) days;
C. the agreement shall include reasonable indemnification and insurance
subject to the approval of the City of Anaheim's Risk Manager;
d. the agreement shall include payment of a reasonable license fee as
determined by the City Manager, provided that the City Manager may waive the license fee if the
proposed use of the real property is for the benefit of a City of Anaheim department, project or
program; and
e. the agreement shall be approved as to form by the City Attorney, or
designee, prior to execution by the City Manager.
Section 3. The Successor Agency Secretary shall certify to the adoption of this Resolution.

THE FOREGOING RESOLUTION is passed, approved and adopted by the City Council
of the City of Anaheim, serving as and on behalf of the Successor Agency to the Anaheim
Redevelopment Agency this 21 st day of may , 2024, by the following roll call vote:
