1952-2006RESOLUTION NO. 2006 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM APPROVING A SUPPLEMENTAL AGREEMENT TO BE MADE AITD ENTERED INTO EY AND BETWEEN THE CITIES OF ANAHEM;, FULLERTON, ORANGE AHD SANTA ANA, AND THE BUENA PARK, GARDEN GROVE, LA HABRA AND PLACEITTIA SANITARY DISTRICTS, CREATING AIT EXECUTIVE COMMITTEE AND CONFERRIITG CERTAIN POWERS UPON SAID COMMITTEE AITD AUTHORIZING SAID EXECUTIVE COMMITTEE TO EJTER INTO A CONTRACT WITH THE BOARD OF ADI'MINISTRATIOIJ OF THE STATE EMPLOYEES' RETIREMENT SYSTEM=, AND AMENDING 'T SUPPLE- MENTAL AGREEMENTS HERETOFORE MADE AITD ENTERED INTO. t.t�, WHEREAS, the Cities of Anaheim, Fullerton, Orange and Santa Ana, and the Buena Park, Garden Grove, La Habra and Placentia Sani- tary Districts, hereinafter referred to as Cities and Sanitary Districts, jointly o wn, maintain and operate a sewage disposal system commonly known as the Orange County Joint Outfall Sewer, consisting of trunk sewer linep, treatment plant and facilities, and an ocean outfall sewer main; and WHEREAS, said Cities and Sanitary Districts have entered into certain agreements pursuant to the Statutes of 1909, Chapter 397, as amended and codified (Government Code, Section 55000 etc.) for the joint maintenance and operation of said sewage disposal system, whereby each of said Cities and Sanitary Districts pays its propor- tionate share of the cost of the operation and maintenance of said sewage disposal system in proportion to the volume of sewage dis- charged into said disposal system; and WHEREAS, said Cities and Sanitary Districts ar;; desirous of placing all persons employed in the operation and maintenance of said sewage disposal system under the California State Employees' Retirement System; and WHEREAS, the Board of Administration of the California State Employees' Retirement System has made an actuarial report and submit- ted it to the Joint Outfall Sewer of Orange County, California; and WHEREAS, the City Council of the City of Anaheim does hereby find and determine that it would be to the -1- advantage and for the best interests of the Orange, County Joint Out— fall Sewer and the persons employed in the operation and maintenance of said Joint Outfall Sewer sewage disposal system that said employees be placed under the California State Employees' Retirement System and given the benefits of said retirement system; and WHEREAS, it is deemed advisable and to tha best interests of said Cities and Sanitary Districts to amend the joint agreements heretofore made and entered into by and between them in the respects as set forth in tha proposed supplemental agreement hereto attached and made a part hereof. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Anaheim that the proposed supplemental agreement hereto attached and made a part hereof be, and the samo is hereby, approved in all respects, and that the Mayor and the City Clerk of said Tity of Anaheim be, and they are hereby, authorized to execute said supplemental agreement for and on behalf of the City of Anaheim AND BE IT FURTHER RESOLVED that the actuarial report submitted to the Orange County Joint Outfall Sewer by the Board of Administra— tion of the California State Employees! Retirement System be, and the same is hereby, approved as a basis for the contract to be made and entered into with said Board of Administration by the Executive Com— mittee of the Orange County Joint Outfall Sewer for the placing of all persons employed in the operation and maintenance of said sewage disposal system of the Orange County Joint Outfall Sewer under the California State Employees' Retirement System; and BE IT FURTHER RESOLVED that the Executive Committee of the Orange County Joint Outfall Sewer created and designated in tha pro— posed supplemental agreement be, and they are hereby, authorized and empowered to exorcise all of the powers conferred upon them and do all of the things authorized, to the extent and in the manner set forth in said supplemental agreement. -2- THE FOREGOING RESOLUTION was signal and app:covod by mo this 12th day of August 1952, ATTEgT 4 CITY CLERK of tlfo CITY OF ANAHEIM MAYOR of tho CITY OF ANAHEIM STATE OF CALIFORNIA COUNTY OF ORANGE Council thereof: ss. 1, Charles E. FOR THE JOINT MAINTENANCE AND OPERATION OF SAID SEWAGE DISPOSAL SYSTEM, WHEREBY EACH OF SAID CITIES AND SANITARY DISTRICTS PAYS ITS PROPORTIONATE SHARE OF THE COST OF THE OPERATION AND MAINTENANCE OF SAID SEWAGE DISPOSAL SYSTEM IN PROPORTION TO THE VOLUME OF SEWAGE DISCHARGED INTO SAID DISPOSAL SYSTEM; AND WHEREAS, IT IS DEEMED ADVISABLE AND TO THE BEST INTEREST OF SAID :'TIES AND SANITARY DISTRICTS TO AMEND SAID AGREEMENTS IN THE RESPECTS HEREINAFTER SET FORTH; NOW, THEREFORE, IN CONSIDERATION OF THE MUTUAL PROMISES AND AGREE— MENTS HEREINAFTER CONTAINED, SAID CITIES AND SANITARY DISTRICTS DO AGREE AS FOLLOWS; (1) THAT THERE IS HEREBY CREATED AND ESTABLISHED A COMMITTEE WHICH SHALL BE KNOWN AND DESIGNATED AS THE EXECUTIVE COMMITTEE OF THE ORANGE COUNTY JOINT OUTFALL SEWER; THAT SAID EXECUTIVE COMMITTEE SHALL CONSIST OF EIGHT MEd+1BERS ALL SERVING IN THEIR INDIVIDUAL CAPACITY, APPOINTED ONE EACH BY THE LEGISLATIVE BODY OF EACH OF THE CITIES AND SANITARY DISTRICTS. EACH LEG— ISLATIVE BODY RESPECTIVELY SHALL APPOINT ONE ALTERNATE FROM ITS MEMBERSHIP AND EACH SUCH ALTERNATE, ACTING IN HIS INDIVIDUAL CAPACITY, SHALL HAVE AUTHORITY TO ATTEND, PARTICIPATE IN AND VOTE AT ANY MEETING OF SAID EXECUTIVE COMMITTEE WHEN THE REGULAR MEMBER FOR WHOM HE IS AN ALTERNATE IS ABSENT FROM SAID MEETING. EACH MEMBER AND ALTERNATE MEMBER OF SAID EXECUTIVE COMMITTEE SHALL SERVE AT THE PLEASURE OF THE LEGISLATIVE BODY BY WHOM HE SHALL HAVE BEEN APPOINTED. (2) SAID EXECUTIVE COMMITTEE SHALL HAVE COMPLETE CHARGE OF THE INSPECTION, MAINTENANCE AND OPERATION OF THE SEWAGE DISPOSAL SYSTEM OF THE ORANGE COUNTY JOINT OUTFALL SEWER, EXCEPT AS SPECIFICALLY PROVIDED FOR IN THIS AGREEMENT. SAID EXECUTIVE COMMITTEE SHALL HAVE THE POWER, DUTY AND AUTHORITY TO MANAGE, INSPECT, OPERATE, MAINTAIN AND CONTROL SAID SEWAGE DISPOSAL SYSTEM AND INCIDENTAL AND ACCESSORY BUILDINGS, STRUCTURES AND APPURTENANCES, AND ANY OTHER PROPERTY HEREAFTER PLACED IN CHARGE OF SAID EXECUTIVE COMMITTEE BY THE PARTIES HERETO OR ANY THEREOF TO BE OPERATED IN CONJUNCTION WITH SAID SEWAGE DISPOSAL SYSTEM (ALL OF WHICH IS FOR BREVITY HEREINAFTER REFERRED TO AS "SEWAGE DISPOSAL SYSTEM AND TO DO ALL THINGS NECESSARY IN THE EXERCISE OF SUCH MANAGEMENT, INSPECTION, OPERATION, MAINTENANCE AND CONTROL THAT MAY BE LAWFULLY DELEGATED TO THEM, SUBJECT TO THE TERMS OF THIS AGREEMENT, THE POWER OF MANAGEMENT, INSPECTION, MAINTENANCE AND CONTROL HEREBY VESTED IN SAID EXECUTIVE COMMITTEE SHALL CONTINUE UNTIL TERMINATED BY THE UNAN- IMOUS CONSENT AND JOINT ACTION OF SAID CITIES AND SANITARY DISTRICTS HEREINABOVE NAMED. UPON EXPIRATION OR TERMINATION OF THIS AGREEMENT IN ACCORDANCE WITH CONDITIONS OF THIS PARAGRAPH OR OTHERWISE, SAID EXECUTIVE COMMITTEE SHALL IMME- DIATELY SURRENDER THE MANAGEMENT AND CONTROL OF SAID SEWAGE DISPOSAL SYSTEM GRANTED HEREIN, TOGETHER WITH ALL PERSONAL PROPERTY, MATERIALS, SUPPLIES AND EQUIPMENT, TO SAID CITIES AND SANITARY DISTRICTS, AND SHALL RENDER TO SAID CITIES AND SANITARY DISTRICTS A FULL, TRUE AND CORRECT ACCOUNT OF THE FUNDS THEN IN ITS POSSESSION AND SHALL PAY OVER THE SAME TO SAID CITIES AND SANITARY DISTRICTS IN ACCORDANCE WITH THEIR RESPECTIVE RIGHTS. (3) SAID EXECUTIVE COMMITTEE SHALL HOLD AT LEAST ONE REGULAR MEETING EACH MONTH, THE DATE UPON WHICH AND THE HOUR AND PLACE AT WHICH EACH SUCH REGULAR MEETING SHALL BE HELD SHALL BE FIXED BY RESOLUTION OF SAID EXECUTIVE COMMITTEE AT OR BEFORE THE BEGINNING OF EACH FISCAL YEAR FOR THE NEW FISCAL YEAR. FOR PURPOSES OF THIS AGREEMENT, THE TERM "FISCAL YEAR" SHALL MEAN THE YEAR COMMENCING ON JULY 1ST AND ENDING ON JUNE 30TH OF THE FOLLOWING CALENDAR YEAR. SPECIAL MEETINGS OF SAID EXECUTIVE COMMITTEE MAY BE ORDERED IN WRITING BY THE CHAIRMAN, OR A MAJORITY OF SAID EXECUTIVE COMMITTEE. THE ORDER CALLING EACH SUCH SPECIAL MEETING SHALL BE SIGNED BY THE CHAIRMAN OR THE MEMBERS CALLING SUCH MEETING, AND MUST BE ENTERED IN THE MINUTES OF SAID EXECUTIVE COMMITTEE MEETINGS. THREE DAYS' NOTICE OF SUCH MEETING SHALL BE GIVEN PERSONALLY OR BY MAIL TO THE MEMBERS OF SAID EXECUTIVE COMMITTEE NOT JOINING IN THE ORDER. SAID ORDER SHALL SPECIFY THE BUSINESS TO BE TRANSACTED AT SUCH SPECIAL MEETING, AND NO BUSINESS OTHER THAN THAT SO SPECIFIED SHALL BE TRANSACTED THEREAT, PROVIDED, HOWEVER, THAT SPECIAL MEETINGS OF SAID EXECUTIVE COMMITTEE MAY BE HELD WITHOUT THE GIVING OF THREE DAYS' NOTICE IF ALL OF THE MEMBERS ARE PRESENT AND WAIVE NOTICE OF THE HEARING THEREOF AND CONSENT TO THE HOLDING OF SUCH MEETING AND MAY CONSIDER ANY BUSINESS OR MATTERS WHICH ALL OF THE MEMBERS OF SAID EXECUTIVE COMMITTEE AT SUCH MEETING MAY MUTUALLY AGREE TO CONSIDER. ALL MEETINGS OF SAID EXECUTIVE COMMITTEE SHALL BE OPEN TO THE PUBLIC. SAID EXECUTIVE COMMITTEE SHALL CAUSE TO BE KEPT FULL AND COMPLETE MINUTES OF ITS MEETINGS, BOTH REGULAR AND SPECIAL, AND SHA{.40 ON OR BEFORE THE TENTH DAY OF EACH CALENDAR MONTH, TRANSMIT TO THE LEGISLATIVE BODY OF EACH OF SAID CITIES AND SANITARY DISTRICTS, A TRUE AND CORRECT COPY OF THE MINUTES OF ALL MEETINGS HELD DURING THE PREVIOUS CALENDAR MONTH. THE COMPENSATION OF EACH OF THE MEMBERS OF SAID EXECUTIVE COMMITTEE AND OF EACH ACTING ALTERNATE SHALL BE FIXED AND PAID BY THE CITY OR SANITARY DISTRICT MAKING THE APPOINTMENT. THE PRESENCE OF AT LEAST SIX MEMBERS OF THE EXECUTIVE COMMITTEE, INCLUDING ANY ACTING ALTERNATES PRESENT, SHALL BE REQUIRED TO CONSTITUTE A QUORUM, AND A MAJORITY VOTE OF ALL MEMBERS AND ACTING ALTERNATES PRESENT SHALL BE NECESSARY FOR THE TRANSACTION OF BUSINESS, PROVIDED, HOWEVER, THAT IN THOSE CASES WHERE A GREATER NUMBER OF VOTES IS REQUIRED BY LAW IN RESPECT TO ANY QUES- TION ARISING UNDER OR IN CONNECTION WITH ANY CONTRACT MADE OR ENTERED INTO BY THE EXECUTIVE COMMITTEE WITH THE BOARD OF ADMINISTRATION OF THE STATE EMPLOYEES' RETIREMENT SYSTEM OR BY REASON OF THE PARTICIPATION OF THE EXECUTIVE COMMITTEE IN, AND THE MAKING OF ITS EMPLOYEES MEMBERS OF SUCH SYSTEM, THE STATUTORY VOTE SHALL BE REQUIRED TO MAKE ANY ACTION WITH RESPECT THERETO EFFECTIVE. 3 IN THE EVENT THAT THE PERSONS APPOINTED TO AND CONSTITUTING SAID EXECUTIVE COMMITTEE SHALL AT ANY TIME BE UNABLE TO DECIDE OR AGREE UPON A QUESTION AS TO THE INSPECTION SUPERVISION AND CONTROL OF THE SEWAGE DISPOSAL SYSTEM OR ANY OTHER MATTER WHETHER PROVIDED FOR HEREIN OR NOT, THEN THE LEG- ISLATIVE BODIES OF THE SEVERAL CITIES AND SANITARY DISTRICTS SHALL APPOINT A PERSON WHOSE DECISION OF SUCH QUESTION IN THE ABSENCE OF ACTUAL FRAUD SHALL BE CONCLUSIVE AND BINDING UPON THE EXECUTIVE COMMITTEE. AND ALL PROPERTY UNDER THE CONTROL OF SAID EXECUTIVE COMMITTEE. 4 THIS PARAGRAPH SHALL NOT APPLY TO ANY ACTION ARISING UNDER OR RELATING TO THE STATE EMPLOYEES' RETIREMENT LAW. SAID EXECUTIVE COMMITTEE SHALL ADOPT APPROPRIATE RULES NOT IN- CONSISTENT HEREWITH FOR THE ORDERLY TRANSACTION OF ITS BUSINESS. (4) THE EXECUTIVE COMMITTEE SHALL HAVE POWER AND AUTHORITY AND IT SHALL BE ITS DUTY! (A) TO EMPLOY SUCH PERSON OR PERSONS AS MAY BE REQUIRED IN THE MANAGEMENT, INSPECTION, OPERATION MAINTENANCE AND CONTROL OF SAID SEWAGE DISPOSAL SYSTEM, AND SUCH PERSON OR PERSONS SHALL RECEIVE THE COMPENSATION AGREED UPON BY THE CITIES AND SANITARY DISTRICTS AND THE COMPENSATION SHALL BE PAID BY THE CITIES AND SANITARY DISTRICTS IN THE SAME PROPORTION AS THE PAYMENT OF MAINTENANCE IN THE PRECEDING YEAR DURING WHICH THE COMPENSATION BECOMES PAYABLE. (B) TO PURCHASE SUCH MATERIALS SERVICES PUBLIC UTILITY SERVICES SUPPLIES AND EQUIPMENT AS MAY BE REQUIRED TO MAINTAIN AND OPERATE SAID SEWAGE DISPOSAL SYSTEM; PROVIDED HOWEVER THAT ANY SUCH PURCHASES COSTING IN EXCESS OF ONE THOUSAND DOLLARS ($1 OR ANY PURCHASES IN CONNECTION WITH AND CAPITAL IMPROVEMENTS OR EXPENDITURES SHALL FIRST BE AUTHORIZED BY SAID CITIES AND SANITARY DISTRICTS AND SUCH PURCHASES SHALL BE MADE IN THE MANNER PROVIDED BY LAW; AND PROVIDED FURTHER THAT THE TITLE TO ALL MATERIALS SUPPLIES AND EQUIPMENT PURCHASED SHALL VEST JOINTLY IN SAID CITIES AND SANITARY DISTRICTS IN PROPORTION TO THEIR PERCENTAGE OF OWNERSHIP IN SAID SEWAGE DISPOSAL SYSTEM OR THE VARIOUS SECTIONS THEREOF. (c) To MAKE REPAIRS OR IMPROVEMENTS TO SAID SEWAGE DISPOSAL SYSTEM (D) TO PROCURE AND MAINTAIN IN FORCE AND EFFECT REASONABLY AD" EQUATE PUBLIC LIABILITY, WORKMEN'S COMPENSATION, PROPERTY DAMAGE, AND SUCH OTHER INSURANCE AS SAID EXECUTIVE COMMITTEE MAY DEEM ADVISABLE, INSURING THE SAID CITIES AND SANITARY DISTRICTS, RESPECTIVELY, AS THEIR INTERESTS MAY APPEAR, AND TO EXACT OF THEIR EMPLOYEES SUCH FIDELITY AND SURETY BONDS AS IN THEIR DISCRETION MAY BE NECESSARY AND TO PAY THE PREMIUMS THEREON. ANY MONEYS RE- CEIVED BY ANY OF THE PARTIES HERETO UNDER ANY POLICY OF INSURANCE FOR DAMAGE TO, OR LOSS OF, THE SEWAGE DISPOSAL SYSTEM, SHALL BE DISBURSED FOR THE PURPOSE OF REPAIRING OR REPLACING THE ITEM OR ITEMS COVERED BY SAID INSURANCE, AND FOR THE DAMAGE OR DESTRUCTION OF WHICH SAID MONEYS WERE RECEIVED. (E) TO ENTER INTO A CONTRACT WITH THE BOARD OF ADMINISTRATION OF THE STATE EMPLOYEES' RETIREMENT SYSTEM, SUBJECT TO THE STATE EMPLOYEES RETIREMENT LAW, SAID CONTRACT TO PROVIDE FOR THE PARTICIPATION OF THE EX- ECUTIVE COMMITTEE IN SAID SYSTEM AND MAKE ITS EMPLOYEES MEMBERS THEREOF, AND TO MAKE ALL ADMINISTRATIVE DECISIONS, AND TO PERFORM ALL ADMINISTRATIVE FUNCTIONS IN CONNECTION THEREWITH UNDER SAID LAW AS IT NOW EXISTS OR HEREAFTER MAY BE AMENDED. SUCH CONTRACT AND ALL AMENDMENTS SHALL BE EXECUTED BY SAID EXECUTIVE COMMITTEE THROUGH ITS CHAIRMAN AND SECRETARY. THE CONTRACT SHALL BE IN SUCH FORM AS SHALL BE FIRST APPROVED BY SAID CITIES AND SANITARY DISTRICTS. (5) THE EMPLOYEES OF SAID EXECUTIVE COMMITTEE SHALL NOT BE DEEMED TO BE THE EMPLOYEES OF THE CITIES OR SANITARY DISTRICTS OR ANY OF THEM, AND SHALL BE EXEMPT FROM THE CIVIL SERVICE PROVISIONS, RULES AND REGULATIONS OF SAID CITIES AND SANITARY DISTRICTS, IF ANY, NOR SHALL SAID EMPLOYEES BE SUBJECT TO ANY RULES, REGULATIONS OR ORDINANCES REQUIRING SAID EMPLOYEES TO RESIDE WITHIN THE LIMITS OF THE CITIES OR SANITARY DISTRICTS, OR ANY OF THEM. (6) EACH OF THE CITIES AND SANITARY DISTRICTS HEREINABOVE NAMED HEREBY AGREES TO PAY ITS PROPORTIONATE SHARE OF THE COST OF THE MANAGEMENT, INSPECTION, OPERATION AND MAINTENANCE OF SAID SEWAGE DISPOSAL SYSTEM AND PROPERTY INCIDENTAL THERETO OR USED IN CONNECTION THEREWITH, AND ITS PROPOR- TIONATE SHARE OF THE COST OF THE PARTICIPATION OF SAID EMPLOYEES IN THE STATE EMPLOYEES' RETIREMENT SYSTEM IN PROPORTION TO THE VOLUME OF SEWAGE DISCHARGED -5- BY IT INTO SAID SEWAGE DISPOSAL SYSTEM DURING THE PRECEDING YEAR. SUCH SHARE OF THE COST OF PARTICIPATION OF SAID EMPLOYEES IN THE STATE EMPLOYEES' RETIRE- MENT SYSTEM SHALL BE PAID AND TRANSMITTED TO THE EXECUTIVE COMMITTEE SUFFI- CIENTLY IN ADVANCE SO AS TO PERMIT IT TO MEET ITS OBLIGATIONS TO THE STATE EMPLOYEES' RETIREMENT SYSTEM AS AND VJHEN THEY BECOME DUE. IN WITNESS 'WHEREOF, EACH OF THE CITIES AND SANITARY DISTRICTS HAVE CAUSED THESE PRESENTS TO BE EXECUTED BY ITS OFFICERS THEREUNTO DULY AUTHORIZED AND ITS CORPORATE SEAL THEREUNTO AFFIXED ON THE DATE SET OPPOSITE ITS NAME.
