RESOLUTION NO. 91R-169
RESOLUTION AUTHORIZING ALTERNATE SIGNATORIES FOR THE EXECUTION
OF REQUISITIONS RELATING TO THE ClTY'S 1990 ARENA PROJECT
RESOLVED, by the City Council of the City of Anaheim, California (the "City"), as
follows:
WHEREAS, the City, working together with the Anaheim Public Improvement
Corporation (the "Corporation"), has proceeded with a lease financing to finance the design,
construction, installation and equipping of certain capital improvements, comprising an
approximately 19,000-seat sports and entertainment arena (the "Project"), as more particularly
described in that certain Lease Agreement, dated as of December 1, 1990 (the "Lease
Agreement"), by and between the Corporation and the City;
WHEREAS, the Corporation, the City and The Bank of New York Trust Company of
California, Los Angeles, California (the "Trustee"), have heretofore entered into that certain
Trust Agreement, dated as of December 1, 1990 (the "Trust Agreement"), relating to the
financing and the execution and delivery of certificates of participation evidencing the direct,
undivided fractional interests of the owners thereof in lease payments to be made by the City
under the Lease Agreement;
WHEREAS, Section 4.02 of the Trust Agreement provides that requisitions for
payments from the Construction Fund for Construction Costs (as such terms are defined in the
Trust Agreement) shall be executed by the Finance Director of the City, the City Engineer and
the Project construction manager identified to the Trustee, the Paying Agent (as such term is
defined in the Trust Agreement) by the City; and
WHEREAS, it is necessary for this City Council to authorize alternate signatories in
substitution for the Finance Director of the City and/or the City Engineer in the event
requisitions are required to be submitted and the Finance Director of the City and/or the City
Engineer are unavailable to execute such requisitions;
NOW, THEREFORE, it is hereby ORDERED and DETERMINED, as follows:
Section I. In connection with requisitions for payments from the Construction Fund for
Construction Costs, the Finance Director of the City and the City Engineer are each hereby
authorized to designate a substitute signatory for such requisitions, which designations shall
be provided in writing to the Trustee.
Section 2. This Resolution shall take effect upon its adoption by this City Council.
The FOREGOING RESOLUTION was approved and adopted by the City Council of the
City of Anaheim this 1 lth day of June, 1991, by the following vote:
