A RESOLUTION OF THE ANAHEIM REDEVELOPMENT
AGENCY APPROVING THE TERMS AND CONDITIONS
OF A SECOND AMENDMENT TO THE NEGOTIATION
AGREEMENT TO NEGOTIATE FOR THE DEVELOPMENT
OF CERTAIN PROPERTY. (FEDERATED DEPART
MENT STORES, INC., JOHN S. GRIFFITH AND
COMPANY AND ANAHEIM SAVINGS AND LOAN)
.WHEREAS, an agreement was entered into the.21st day
of June, 1976, by, between and among the Anaheim Redevelopment
Agency; John S. Griffith and Company; Federated Department Stores;
and Anaheim Savings and Loan Association; and
WHEREAS, the parties mutually desire to extend the term
of the period of negotiations pursuant to such Negotiation Agree-
ment; and
WHEREAS, it is in the best interest of the Anaheim
Redevelopment Agency to enter into such amendment; and
WHEREAS, an amended agreement to extend said agreement
has been prepared, the terms and conditions of which are acceptable
to the Anaheim Redevelopment Agency.
NOW, THEREFORE, BE IT RESOLVED that the terms and condi-
tions of said Second Amendment are hereby approved.
THE FOREGOING RESOLUTION is approved and signed by me
this 25th day of January 1977,

SECOND AMENDMENT TO NEGOTIATION AGREEMENT
THIS AMENDED AGREEMENT IS ENTERED INTO THIS 25th day of
January , 1977, by, between and among the Anaheim Redevelopment
Agency ("Agency"), JOHN S. GRIFFITH & CO. ( "Developer "), FEDERATED DEPART-
MENT STORES, INC. ("Federated "), and ANAHEIM SAVINGS AND LOAN ASSOCIATION
( "Anaheim Savings ") on the terms and provisions set forth below.
IT IS HEREBY MUTUALLY AGREED AS FOLLOWS;
1. The 180 day period of negotiations as provided in Section 102
of the agreement is hereby extended to March.21, 1977.
2. All other provisions of the agreement, including specific
schedules for submission of documents or performance of other acts by the
Agency or Developer, are extended consistent with the above date.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement as of the day and year hereinabove first written.
