TO TRUST AGREEMENT AND DIRECTING EXECUTION THEREOF

RESOLVED, ORDERED AND DETERMINED by the Board Directors of the
Anaheim Public Improvement Corporation (the "Corporation"), Anaheim, California, that
that certain Supplemental Agreement No. 1 to Trust Agreement, attached hereto and by
this reference incorporated herein, be and is hereby approved and that the President is
hereby authorized and directed to execute said Supplemental Agreement No. 1 to Trust
Agreement and the Secretary is hereby authorized and directed to attest to the
President's signature and to affix the seal of the Corporation thereto.
It is hereby certified that the foregoing resolution was duly adopted at a meeting
of the Anaheim Public Improvement Corporation held on the 8th day of May' , 1990,
by the following vote:
