RES-2019-125 RESOLUTION NO. 2019- 12 5 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM AMENDING RESOLUTION 2013-049, REVISING THE DEED FOR CONVEYANCE OF CITY-OWNED PROPERTY LOCATED AT 1929 THROUGH 1937 SOUTH MANCHESTER AVENUE WHEREAS, the City of Anaheim ("City") owns the 0.62 acre property located at 1929-1937 South Manchester Avenue, more particularly described in the legal descriptions attached to the Grant Deed appended hereto as Exhibit 1 ("City-Owned Property"); and WHEREAS, the City acquired the City-Owned Property in connection with its implementation and construction of The Gene Autry Way (West)/I-5 HOV Interchange Project ("Project"); and WHEREAS, the Project, as proposed, contemplates the conveyance of the City- Owned Property to the owner of the adjacent Holiday Inn and Staybridge Suites site located at 1855-1925 South Manchester Avenue ("Hotel Site"), for the purpose of mitigating the impacts to parking spaces on the Hotel Site attributable to the City's acquisition of a portion of the Hotel Site's parking lot for the construction of the Project; and WHEREAS, the City Council previously passed Resolution 2013-049 on March 26, 2013, and authorized conveyance of the City-Owned Property to the owner of the Hotel Site; and WHEREAS,since March 26,2013,the City and owners and occupants of the Hotel Site have engaged in settlement negotiations, to resolve issues arising out of a series of litigation matters pending between the parties, including an action in eminent domain initiated by the City to acquire portions of property required for the Project, entitled City of Anaheim v. HPT IHG-2 Properties Trust, et al., and bearing Orange County Superior Court Case No. 30-2009-00125412- CU-EI-CXC (the "Eminent Domain Action"), as well as related writ proceedings brought in connection therewith; and WHEREAS, as a result of those negotiations, the scope and nature of the City 's reserved easements over the City-Owned property, as originally proposed and authorized by Resolution No. 2013-049, changed, and the revised reserved easements are as reflected in the revised Grant Deed attached hereto as Exhibit 1 ("Grant Deed"); and WHEREAS, the conveyance of the City-Owned Property, as proposed, requires a reservation of easements in favor of the City through portions of the City-Owned Property as reflected in the attached Grant Deed, including: (1)a maintenance and access easement (2)a wall easement and (3) a subsurface foundation and utility easement; all as more specifically described in the Grant Deed; and WHEREAS, Government Code Section 37350, as well as other provisions of law, permit the City to dispose of real property for the common benefit; and WHEREAS, the City Council has determined that the conveyance of the City- Owned Property to the owner of the Hotel Site, as modified and reflected in the Grant Deed attached hereto, permits the effective completion of the Project, resolves litigation arising out of same,and is in the best interest and common benefit of the City. NOW, THEREFORE, BE IT RESOLVED that the City Council does hereby authorize and approve the conveyance of the City-Owned Property, in the manner and as provided in the Grant Deed attached hereto,to the fee owner of the Hotel Site. BE IT FURTHER RESOLVED that the Mayor and City Clerk are hereby authorized and directed to execute, in the name of the City, the Grant Deed, or any deeds and/or other documents necessary to effectuate the amended conveyance authorized herein. The holder of the servient tenement shall not place or maintain any structures or permanent obstructions on or under the permanent subsurface foundation and utility easement area. (iii) A non-exclusive maintenance access easement which permits the Grantor to have the right to pass on, over, and reasonably use the southerly driveway and drive aisles shown on Plan Sheet 11 of the approved as-built plans dated April 9, 2014 for the Project depicted in "Exhibit G,,,and as such driveways and drive aisles may legally exist in the future on the Property, for the purposes of obtaining access to the wall and subsurface foundation and utility easements described in (i) and (ii) above and improvements thereon, for reasonable ingress and egress purposes. The maintenance access easement shall not prevent the holder of the servient tenement in and to the Property from the right to replace, relocate or realign the southerly driveway and drive aisles as otherwise permitted by law. Any such legal replacement,relocation or realignment of such driveway and drive aisles shall be documented by the Grantor and holder of the servient tenement by way of an amendment to this instrument(provided that such replacement, relocation or realignment shall nonetheless be effective immediately on notice to Grantor). The Grantor shall have same right of access for reasonable ingress and egress purposes to and from this permanent easement if and when the owner of the servient tenement in and to the Property replaces,relocates or realigns the southerly driveway and drive aisles. (iv) The exercise of the easement rights described in(i)through(iii)above and reserved to the Grantor hereunder, shall be subject to all of the following: (a) The exercise of the easements above shall be limited to use for wall improvements,footings,and utilities currently in place pursuant to the City of Anaheim's approved as-built plans dated April 9,2014 for the Project,or the placement of new utilities/communication lines within existing subsurface conduits on the Property. (b) Subject to the limitations herein, Grantor shall have the right to repair or replace the Gene Autry Way structure to its existing configuration and/or installation or placement of new utilities or lines in existing subsurface conduit. Grantor shall have the right to bring necessary tools, equipment, and personnel thereon, for the purposes of inspecting, maintaining, operating,repairing,or replacing such wall improvements,footings,and utilities currently in place as a result of the Project,or new utilities/communication lines within existing subsurface conduits on the Property. 159/012377-0108 13368815.9 a10/01/19 -2- (c) Except in cases when necessary to redress an ongoing emergency involving immediate threat to public health, safety, or public or private property: 1) Grantor must limit occupation of any parking spaces to 10 contiguous parking spaces at a time. This 10 space limitation is for the total amount of parking spaces that may be occupied by the City at any one time whether within the easements on the Triangle Parcel, the easements on the hotel remainder, or both; 2) Total repair/replacement work days that occupy any individual parking space cannot exceed 120 days per consecutive 12-month period; 3) Work hours shall be 7 am to 7 pm,Monday through Friday; 4) At least 6-foot high opaque construction fence to be located adjacent to the working area to be in place at all times during any construction, but not routine maintenance, activities. (d) Inspection and occupancy of the easement areas for landscape maintenance purposes may occur no more than 5 times per calendar year; provided, however, that City may conduct more frequent vehicular or walking inspections of areas it is required to maintain,provided that such inspections occur without disturbance to hotel operations or guests, and without moving vehicles, fixtures, or other equipment incident to use of the hotel remainder or hotel operations. (e) Except in cases when necessary to redress an ongoing emergency involving immediate threat to public health, safety, or public or private property, Grantor shall provide a minimum 72-hour notice to onsite hotel management of the owner of the servient tenement in and to the Property in advance of any use of the permanent easements;routine entry and inspection for landscape maintenance purposes to occur no more than 5 times a year. For any planned reconstruction or planned significant repairs to Gene Autry Way,Grantor shall provide at least 90- day written notice to the owner of the servient tenement and onsite management of the owner of the servient tenement in and to the Property. (f) "Emergency" as used herein shall not include any condition or situation substantially caused by the Grantor's deferred maintenance or failure to maintain the Gene Autry Way structure. (g) Grantor agrees that the permanent easements reserved to Grantor shall not be construed to prevent construction of any building or other structure, including but not limited to a parking structure,or any parking control devices on the remaining hotel site or Triangle Parcel outside the reserved Wall Easement and Subsurface Footing and Utility Easement areas,provided the Maintenance Access Easement remains either undisturbed, or can be relocated (including within such parking structure) to reasonably effectuate its purposes, or, in the case of parking control devices,that the City is provided an effective method of immediate access. (v) The owner of the servient tenement in and to the Property and hotel operator, and any subsequent property owners, successors, assigns, or transferees, reserve rights regarding any future takings or changes to the nature or scope of the easements reserved to Grantor as described herein or to the Project as constructed per the April 9,2014 as-built plans,including but not limited to rights to object to any future proposed acquisition/condemnation and rights to claim compensation therefor.
