RES-2019-134 RESOLUTION NO. 2019- 13 4 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM AUTHORIZING WITHDRAWAL FROM THE POWER AGENCY OF CALIFORNIA WHEREAS, by entry into a Joint Powers Agreement dated July 1, 1990, the Cities of Azusa, Banning, Colton and Riverside formed a joint powers agency under the Joint Exercise of Powers Act (Cal. Gov. Code § 6500 et seq.) to be known as the "Power Agency of California" (PAC) largely for the purpose of sharing the cost of their scheduling and accounting obligations under their respective Integrated Operations Agreements with Southern California Edison Company; and WHEREAS, pursuant to City Council Resolution No. 96R-120, approved and adopted on June 25, 1996, the City of Anaheim(City)requested membership in PAC and agreed to be bound by the PAC Joint Powers Agreement in order to realize economic benefits,more efficient resource utilization, and sharing of certain technical and legal costs; and WHEREAS, the City has continued to attend Regular Meetings and Special Meetings of the PAC Board of Directors as such meetings were noticed and conducted pursuant to Section 10 of the PAC Joint Powers Agreement, but the City has not utilized any of the powers and benefits available to it as a member of PAC in several years and does not anticipate any future need to do so; and WHEREAS,the City is not currently involved in any projects or active contracts with PAC, and the City does not currently owe PAC any outstanding contributions, payments, advances or other obligations; and WHEREAS, City staff time and other resources currently expended due to the City's membership in PAC may be more effectively used in other City programs and activities; and WHEREAS, section 14 of the PAC Joint Powers Agreement provides that any member may withdraw from PAC at any time upon (1) payment of any outstanding contributions, payments, advances or other obligations to PAC, if any, and(2)the filing with the PAC Board of Directors of a certified resolution expressing the City's desire to withdraw from PAC. NOW,THEREFORE,the City Council of the City of Anaheim resolves as follows: 1. The above recitals are true and correct and incorporated herein. 2. The City has no any outstanding contributions, payments, advances or other obligations owed to PAC as of the date of adoption of this Resolution. 3. The City Council of the City of Anaheim hereby withdraws from PAC pursuant to Section 14 of the PAC Joint Powers Agreement. 1 4. The City Council of the City of Anaheim authorizes the Public Utilities General Manager or designee to take all actions necessary and desirable to accomplish withdrawal from PAC, including the execution of any required documents. 5. This Resolution shall take effect immediately upon its adoption. The City Clerk is directed to send a certified copy of this Resolution to the PAC Board of Directors and each PAC member pursuant to the Notices provision in the PAC Joint Powers Agreement.
