A RESOLUTION OF THE CITY COUNCIL OF
THE CITY OF ANAHEIM AUTHORIZING
ADDITIONAL OFFICERS TO EACH BE AN
"AUTHORIZED PERSON" UNDER ORDINANCE
NO. 4415 AND EACH AN "AUTHORIZED
OFFICER" UNDER THE REVOLVING CREDIT
AGREEMENT RELATING TO THE CITY'S WATER
REVENUE ANTICIPATION NOTES
WHEREAS, "Authorized Person" under Section l(b) of
Ordinance No. 4415 of the City Council of the City of Anaheim (the
"City") adopted on April 26, 1983 ("Ordinance No. 4415") consists of
the Public Utilities General Manager of the City, the Management
Services Manager of the Public Utilities Department of the City, the
City Treasurer, and the Finance Director of the City; and
WHEREAS, "Authorized Officer" under Section 1.3 of the
Revolving Credit Agreement among the City, Bank of America National
Trust and Savings Association ("Bank of America") and Morgan Guaranty
Trust Company of New York ("Morgan Guaranty") dated June 1, 1983, as
amended (the "Revolving Credit Agreement") consists of the Public
Utilities General Manager of the City, the Management Services
Manager of the Public Utilities Department of the City, the city
Treasurer, and the Finance Director of the City; and
WHEREAS, the City seeks to authorize additional officers of
the City to execute a Determination (in accordance with and as
defined in Ordinance No. 4415) and to execute such documents, instru-
ments and papers, and to open such bank accounts, and to do such
other acts and things, as may be necessary or advisable in connection
with the sale and issuance from time to time of the City's Water
Revenue Anticipation Notes (the "Notes") and the deposit and invest-
ment of the proceeds thereof; and
WHEREAS, the City seeks to authorize additional officers of
the City to act pursuant to the Revolving Credit Agreement; and
WHEREAS, Section l(b) of Ordinance No. 4415 provides that
an "Authorized Person" shall also include such other officers as may
be designated by resolution of the City Council pursuant to
Section 12 of Ordinance No. 4415; and
WHEREAS, Section 1.3 of the Revolving Credit Agreement pro-
vides that an "Authorized Officer" shall also include such other
officers as may be designated by resolution of the City Council; and
WHEREAS~ this Resolution is adopted in accordance with
Ordinance No. 4415, including Section 12 thereof, and to satisfy the
requirements of Section 1.3 of the Revolving Credit Agreement.

NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF ANAHEIM
DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:
SECTION 1. The City Council hereby designates the
Assistant General Manager-Finance and Administration and the
Financial Services Manager each an Authorized Person under Ordinance
No. 4415 and each an Authorized Officer under the Revolving Credit
Agreement.
SECTION 2. The City Council hereby directs that the City
Clerk cause notice of the contents of this Resolution and a copy of
this Resolution to be given to the appropriate officers of (i) Bank
of America and Morgan Guaranty in accordance with the Revolving
Credit Agreement, (ii) Goldman, Sachs & Co., as dealer for the Notes
pursuant to the Dealer Bank Agreement between the City and Goldman,
Sachs & Co. dated June 1, 1983 and (iii) BankAmerica Trust Company of
New York, as Issuing and Paying Agent for the Notes pursuant to the
Issuing and Paying Agent Agreement between the City and BankAmerica
Trust Company of New York dated June 1, 1983.
SECTION 3. This Resolution shall become effective on the
date of its adoption.
