RESOLUTION NO. 83R-173
A RESOLUT]ON OF THE CITY COUNCIL OF THE CITY
OF ANAHEI~ APPROVING INCIDENTAL USES OF THE
PREMISES ~ND THE CONSTRUCTION OF ADDITIONAL
IMPROVEMENTS AT THE HILTON AT THE PARK.
WHEREAS, qhe City of Anaheim (hereinafter "City") is the
owner and sublessee lof certain real property (hereinafter "real
property") located generally at the northwest corner of the
intersection of Har~or Boulevard and Convention Way in the City of
Anaheim; and
WHEREAS, qity has heretofore sub-subleased said real
property, including Ithe hotel building located thereon, pursuant
to that certain Lea~e Agreement (hereinafter "Lease Agreement")
dated August 17, 19~6, by and between City, as sub-sublessor, and
Wrather Inns, Inc., a California corporation (hereinafter
"Assignor"), as sub1sublessee, and as amended by a First Amendment
to Lease Agreement ~xecuted this date, for the purpose of the
operation of a first-class hotel and related improvements; and
WHEREAS, ~ssignor, with the consent of City, has
heretofore assigned said Lease Agreement to C-D III, a California
general partnership (hereinafter "Assignee"), pursuant to that
certain Assignment qf Sub-Sublease dated July 6, 1982, by and
between Assignor and Assignee; and
WHEREAS, ~ection 3.03(b) of said Lease Agreement
prohibits the constriuction of any additional buildings or
structures upon the real property without approval thereof by City
as part of an amended development plan; and
WHEREAS, ~ection 3.04(c) of said Lease Agreement
authorizes the City 'to permit additional incidental uses upon the
real property not o~herwise expressly authorized by the Lease
Agreement; and
WHEREAS, ~ssignee has heretofore submitted proposed
building plans to tije City to construct additional improvements
upon the real prope~ty for the following incidental uses not
otherwise expressly ,authorized by said Lease Agreement: (a)
temporary construct~on offices and personnel training rooms during
construction of the adjacent Anaheim Hilton Hotel, and (b)
permanent offices artd personnel training rooms for the Hilton at
the Park Hotel follqwing completion of construction of the Anaheim
Hi 1 ton Hotel.
NOW, THER~FORE, BE IT RESOLVED that the City Council of
the City of Anaheim 'hereby authorizes and approves the aforesaid
incidental uses of ~he real property pursuant to Section 3.04(c)
of the Lease Agreem~nt.

BE IT FUR~HER RESOLVED that the City Council hereby
authorizes and appr~ves the aforesaid improvements and amends the
development plan for said real property to permit the construction
of such improvement~ in substantial compliance with the building
plans heretofore su~itted to the City pursuant to Section 3.03(b)
of the Lease Agreem~nt.
THE FOREG9ING RESOLUTION is approved and adopted by the
City Council of the ,City of Anaheim this 3rd day of May, 1983.
