RESOLUTIONi OF THE CITY COUNCIL OF THE CITY OF
ANAHEIM, CALIFORNIA APPROVING THE FORM OF A
REVOLVING CREDIT AGREEMENT, AN ISSUING AND
PAYING AGENT AGREEMENT AND A DEALER BANK
AGREEMENT *ELATING TO REVENUE ANTICIPATION NOTES
OF SAID CIty AND AUTHORIZING THE EXECUTION AND
DELIVERY THEREOF.
WHEREAS, S$ction 1210 of the Charter of the City provides
that the City Counc!l shall by Ordinance prescribe a procedure for
the issuance of its Revenue Anticipation Notes; and
WHEREAS, the City Council of the City of Anaheim (the
"City") at its meet!ng on April 26, 1983, adopted certain Ordinances
designated as Ordin,nce No. 4416 and Ordinance No. 4418, providing
for the procedure~ for the issuance and sale of the Revenue
Anticipation Notes o~ the City and providing the terms and conditions
of said Notes (the .Ordinances"); and
WHEREAS, t~e City Council has determined that it is neces-
sary and required that the City "t:ouncil by resolution authorize the
City to enter into ~ Revolving Credit Agreement with Bank of America
National Trust and Savings Association (the "Bank"), an Issuing and
paying Agent Agreem~nt with BankAmerica Trust Company of New York
(the "Issuing and P~ying Agent") and a Dealer Bank Agreement with
Goldman, Sachs & Co, (the "Dealer Bank"); and

WHEREAS, t~e City Council desires to authorize the proper
officers of the Cit~ to take all necessary steps to complete the
transactions contemplated by this Resolution, the Revolving Credit
Agreement, the Issuipg and Paying Agent Agreement and the Dealer Bank
Agreement;
NOW, THEREFORE, THE COUNCIL OF THE CITY OF ANAHEIM DOES
HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:

SECTION 1. Revolving Credit AgrePmPnta
The City is hereby authorized to enter into a Revolving
Credit Agreement with the Bank, in substanti~lly the form attached as
Exhibit A hereto, w$th such additions and changes therein as the
Mayor may approve, such approval to be conclusively evidenced by his
execution of such Ag~eement.
SECTION 2. Issuing and P~in9 Agent Agreementa
The City is hereby authorized to enter into an Issuing and
paying Agent Agreement with the Issuing and Paying Agent, in substan~
tially the form attadhed as Exhibit B hereto, with such additions and
changes therein as the Mayor may approve, such approval to be conclu-
sively evidenced by his execution of such Agreement.
SECTION 3. Dealer Bank Agreementa
The City is, hereby authorized to enter into a Dealer Bank

Agreement with the Dealer Bank, in substantially the form attached as
Exhibit C hereto, w~th such additions and changes therein as the
Mayor may approve, s~ch approval to be conclusively evidenced by his
execution of such Ag~eernent.
SECTION 4. Executiona

The Mayor of the City and the City Clerk are hereby autho-
rized to execute and deliver said Agreements with such additions and

changes therein as the Mayor may approve, such approval to be conclu-
sively evidenced by his execution of such Agreements.

SECTION 5. Effectiv~ Date_
This ResolUtion shall take effect on the effective date of
the Ordinances.

ADOPTED, SIGNED AND APPROVED this twenty-seventh day of
April, 1983.
