City Council in compliance with all require- ments of law has heretotore adopted, Resolution No. 84R-~6(the "Bond Resolution"), entitled~ -Resolution of the: City Council of the City of Anaheim, California, Author~zing the Issuance of $6,650,000 Water Revenue Bonds, 198~ Series, of the City and Providing the Terms and Conditio*s of such Bonds., and WHEREAS, this City Council deems it necessary to sell a~ this time $6,650,000 p~incipal amount of Bonds a~ authorized ~ the Bond ,Resolution. " NOW, TBERBFOl$, THE CITY COUNCIL OP THE CITY OF ANAHEIM, CALIFORNIA, DOES H~Y RESOLVE, DETERMINE AND ORDER as follows: Section 1. Co~liance with Conditions Precedent. All steps required to be t~k. ,ken precedent to the authorization, issuance and sale of the Bonds have been d~y and regularly taken as provided by law. " Section 2. NoItice to Intention to Sell Bonds and Notice of Sale. The Notice of iatention to Sell Bonds (as a~proved b.Y the " (' -." City Council in the Proposal Resolution) was published as required by law and the Notice of $ale was published as required by the Proposal Resolution. Pursuant 10 the Notice of Sale (as approved by the City Council in the Proposa Resolution) and the Notice of Intention to' Sell Bonds, bids have been received, opened, read and examined. Section 3. Successful Bidder. The bi d of Paine Webber for thei Bonds, 'attached hereto, marked Exhibit A, and by this reference in~orporated herein, is the best bid ,for the Bonds. Such bid is .h~reby accepted in accordance with the terms thereof, and in acco~dance with and subject to the Proposal Resolution and the Bon~ Resolution. ,~ .--.. Section 4. Al~ Other Bids Rejected. All bids other than the one accepted pursu_nt to Section 3 hereof are rejected. Section 5. In~erest Rates on the Bonds. The Bonds shall be payable in the Prin~lpal Amounts (as either maturities or Sinking Fund Installments) and! shall bear interest at the rates as set forth in the accepted propos_l and the Bond Resolution. Section 6. Putchase Price for the Bonds. The Pub 1 i c Utilities General Ma~ager'is hereby authorized and directed to deliver the Bonds tp the successfuL bidder upon payment of $ 6,517,000.00 ~refor, plus accrued interest from October 1, 1984 to the date of de~ivery of the Bonds. Section 7. Ra~ification. All actions and proceedings heretofore taken in co~nection with the authorization, issuance and sale of the Bonds are hereby ratified and confirmed. Section 8. 'OfXicial statement Approved. The fin a 1 Official Statement d ted October 9, 1984 (the wfinal Official StatementW) in substan ially the form of the Preliminary Official Statement with such ch~nges thereto as are necessary to reflect the actual terms of the Bonds and such other changes as the Mayor, the City Manager and the P4blic utilities General Manager shall approve (such approval to be conclusively evidenced by their execution and delivery thereof), be and the same is hereby approved, and the City Council hereby approve$ the use of the final Official Statement by the successful bidder in connection with the offering and sale of the Bonds, and the City Council hereby further approves the use ~ the successful bidder of any supplement or-amendment to the final Official Statement wh~ch is necessary so that the final Official Statement does not inc1ude any untrue statement of a material fact and does not include any untrue statement of a material fact neces- sary to make the state.ents therein not misleading. The Mayor, the City Manager and the ~ublic utilities General Manager are hereby authorized and directed to execute the final Official Statement and any amendment or suppl~ent thereto; in the name and on behalf of the City, and thereupon to ~ause the final Official Statement and any such amendment or supplement to be delivered to the successful bidder. i"""'l ~ ,~.
