RESOLUTION OF THE CITY COL~CIL OF
THE CITY OF fu~AHEIM, CALIFORNIA
AWARDING $7,350,000 WATER REVENUE
BONDS OF SAID CITY TO THE BEST BIDDER
AND P~JECTING ALL OTHER BIDS
~lliEREAS, at the time and place fixed for the
opening of bids for the $7,350,000 Bonds of the City of
J.I.naheim designated the "Water Revenue Bonds, 1980 Series"
(the "Bonds"), and nlli~ered 1 to 1470, inclusive, all
bids were publicly opened, examined and read, and a
tabulation thereof has been entered in the minutes; and
WHEREAS, the bid of the bidder hereinafter named
is the best bid made by a responsible bidder for the Bonds;
NOW, THEREFORE, the City Council of the City of
Anaheim, California, DOES HEREBY RESOL\~, DETEID1INE AND
ORDER as follows:
Section 1. The bid of Merrill Lynch White Weld
Capital Markets Group
I attached hereto and
marked "Exhibit 1", specifying the purchase price for the
Bonds including accrued interest to the date of delivery

and the interest rates per annum, is the bid for the Bonds
producing the lowest effective interest rate to the City.
Said bid is hereby accepted and the Bonds awarded to said
best bidder in accordance with the terms of the bid.
Section 2. All bids other than the one accepted
in Section 1 hereof are rejected, and the City Clerk is
directed to return the check accompanying each rejected
bid to the unsuccessful bidder.
Section 3. The interest rates on the Bonds are
hereby fixed at the rates stated in the attached bid.
Section 4. The City Treasurer is hereby directed
to deliver the Bonds to the successful bidder upon payment
therefore, including accrued interest to the date of
delivery.
ADOPTED, SIGNED AND APPROVED this 26th day of
February, 1980.

In behalf of a group which we have formed, consisting of the firms named on the attached list. and
subject to the provisions of, and in accordance with the terms of this Official Form of Proposal, and of the
attached Notice of Sale dated January 29, 1980 (the "Notice of Sale"), which is hereby made a part of this
Proposal. we offer to purchase all of the $7,350.000 Water Revenue Bonds, 1980 Series (herein called the
"1980 Series Bonds"), of the City of Anaheim, California (herein called the "City"), to be issued pursuant
to the Constitution and laws of the State of California, including particularly the Revenue Bond Law of
194J (Chapter 6, Part I, Division 2. Title 5 of the Government Code), the City Charter and procedural
Ordinance No. 2933. and under and pursuant to the resolution authorizing issuance of the 1980 Series

We enclose herewith a certified or cashier's check drawn upon a bank or trust company in the City of
:'\iew York or the State of California payable to the order of "City of Anaheim", in the amount of $73,500
as a good faith deposit.
It shall be a condition of our obligation as successful purchaser(s) to accept delivery of and pay for the
1980 Series Bonds that, contemporaneously with or before accepting the 1980 Series Bonds and paying
therefor, we shall receive the Closing Documents specified in the Notice of Sale, each dated the date of such
delivery.

There is submitted herewith a Statement (which shalJ not constitute a part of this Proposal) of the total
amount of interest payabJe on the 1980 Series Bonds during the life of the issue under this Proposal and the
