RESOLUTION NO. 86R-435
A RESOLUTION CALLING FOR BIDS FOR BONDS,
APPROVING DISTRIBUTION OF OFFICIAL STATEMENT, OFFICIAL NOTICE OF
SALE AND OFFICIAL BID FORM, AND AUTHORIZING AND DIRECTING CERTAIN
ACTIONS WITH RESPECT THERETO
RESOLVED, by the City Council of the City of Anaheim, California (the
"Citil), as follows:
WHEREAS, thi s City Counci 1 proposes to author; ze the issuance of its
General Obligation Bonds, Series 1986 A (the "Bonds") and, in furtherance
thereof, the financial advisors to the City have been directed to prepare an
official statement (the "Official Statement") and bond counsel to the City has
been directed to prepare a notice of sale (the "Official Notice of Sale") and
a bid form (the "Official Bid Form");
WHEREAS, the Official Statement, the Official Notice of Sale and the
Official Bid Form have been prepared and filed with the City Clerk, and this
Council, with the aid of its staff, has reviewed each and every part thereof;
NOW, THEREFORE, it is hereby DETERMINED and ORDERED as follows:
1. The facts contained in the Official Statement are true and correct
in all material respects and the Official Statement contains no untrue
statement of a material fact necessary to make a statement therein not
misleading in the light of the circumstances under which it was made,
provided, however, that the Official Statement does not contain final interest
rates on the Bonds, are subject to change.
2. The Director of Finance or other qualified officer of the City is
authorized to approve corrections and additions to the Official Statement by
supplement or amendment thereto, or otherwi se as appropri ate, provided that
any such corrections or additions shall be necessary to cause the information
contained therein to conform with facts material to the Bonds or to the
proceedings of the City or such corrections or additions are in form rather
than substance.
3. The Official Statement, the Official Notice of Sale and the Official
Bid Form are approved for distribution in the offering and sale of the Bonds.
4. The City1s financial advisors, on behalf of the City and its City
Clerk, are authorized and directed to cause the Official Statement, Official
Notice of Sale and Official Bid Form to be distributed to such municipal bond
broker-dealers, to such banking institutions and to such other persons as may
be interested in purchasing the Bonds therein offered for sale.
5. The City Clerk is authorized and directed to execute the Official
Notice of Sale on behalf of the City and to call for bids for the sale of the
Bonds.

6. The Mayor or Director of Finance is authorized and directed to
execute ~the Official Statement and a statement that the facts contained
in the Offi ci a 1 Statement, and any supplement or amendment thereto (whi ch
sha 11 be deemed an ori gi na 1 part thereof for the purpose of such statement)
were, at the time of sale of the Bonds, true and correct in all material
respects and that the Official Statement did not, on the date of sale of the
Bonds, and does not, as of the date of delivery of the Bonds, contain any
untrue statement of a material fact with respect to the City or omit to state
material facts with respect to the City required to be stated where necessary
to make any statement made therein not misleading in the light of the
circumstances under which it was made. The Mayor or Director of Finance shall
take such further actions prior to the signing of the Official Statement as
are deemed necessary or appropriate to verify the accuracy thereof.

THE FOREGOING RESOLUTION is approved and adopted by the City Council of
the City of Anaheim this 30th day of September, 1986.
