A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF ANAHEIM AUTHORIZING AND APPROVING
A CONTRACT TO BE MADE AND ENTERED INTO WITH
ROBERT J. BARLETTA AND BRUCE COOK FOR
THE SALE OF CERTAIN PERSONAL PROP~TY AND
EQUIPMENT AND FOR THE MAl NTENAi'CE OF THE
EUCLID TRUNK LINE AND THE MAGOOLIA TRUNK
LINE AND APPURTENANT FACILITIES.
WHEREAS, for many years the cities and sanitary districts com-
prising the Orange County Joint Outfall Sewer have maintained and operated
the Euclid Trunk Sewer Line and in recent years the Magnolia Trunk Sewer
Line of the Orange County Joint Ourfall Sewer with their own crews and
facilities and have maintained a central office for the purpose of keeping
records, meeting payrolls, purchasing suppa!es and doing and performing
all other acts and things necessary for the proper maintenance and oper-
ation of trunk sewer lines; and
WHEREAS, said cities and sanitary districts now own all
that personal property and equipment hereinafter mentioned in "Exhibit
A" hereto attached, whl:ch said property and equipment was acquired and
has been used for the maintenance, repair and upkeep of said trunk
sewer lines and appurtenant facilities; and
WHEREAS, Robert J. Barletta and Bruce Cook have submitted to the
members of the Orange County Joint Outfall Sewer an offer to enter
into a contract to furnish all labor and perform all work necessary and
required for the operation, maintenance and repair of said trunk sewer
lines and facilities, as more particularly set forth in an Agreement
hereto attached and made a part hereof; and
WHEREAS, the CITY COUNCIL of the CITY OF ANAHEIM does find
and determine that said offer is fair and reasonable and to the advantage
and for the best interest of the cities and sanitary districts of the
Orange County Joint Outfall Sewer and should be accepted and that the City
of Anaheim, as contracting agent for said cities and sanitary districts,
should be authorized to enter into and execute an Agreement with said Robert
J. Barletta and Bruce Cook to furnish all labor and perform all work
necessary or required for the proper maintenance and repair of said trunk
sewer lines and facilities, upon the terms and conditions set forth in
said Agreement; and
WHEREAS, said CITY COUNCIL OF THE CITY OF ANAHEIM does further
find and determine that it would be to the advantage and for the best
interest of said members of the Orange County Joint Outfall Sewer to
sell to Robert J. Barletta and Bruce Cook the facilities now owned by
the Joint Outfall Sewer and used in the maintenance, operation and repair
of said trunk sewer lines and appurtenant facilities, for the sum of
$15,101.14, upon the terms and conditions set forth, in the Agreement
hereto attached and made a part hereof.
NOW, THEREFORE, BE IT RESOLVED, by the CITY COUNCIL OF THE
CITY OF ANAHEIM as follows:

1. That the sale by the Orange County Joint Outfall Sewer
to Robert J. Barletta and Bruce Cook of the person.l
property, more particularly described and set forth in
"Exhibit A" hereto attached, for the sum of $15,101.14,
upon the terms and conditions set forth in the Agreement
hereto attached be, and it is hereby, approved and authorted
and that the City of Anaheim, as contracting agent fot the

cities and sanitary districts of the Orange County Joint
Outfall Sewer be, and it is hereby authorized to make
and enter into an Agreement with said Robert J. Barletta
and Bruce Cook for the sale of said personal property
and equipment and for the maintenance, operation and
repair of the Euclid Trunk Sewer Line and the Magnolia
Trunk Sewer Line and appurtenant facilities, upon the
terms and conditions as set forth in said Agreement
hereto attached.
THE FOREGOING RESOLUTION APPROVED AND SIGNED by me this

AGREEMENT
THIS AGREEMENT made and entered into by and between the

CITY OF ANAHEIM, a Municipal Corporation of the Sixth Class,
as Contracting Agent for the Cities of Anaheim, Fullerton,
Orange and Buena Park and the Sanitary Districts of Garden
Grove, Placentia and La Habra, as Party of the First Part

ROBERT J. BARLETTA AND BRUCE COOK, Parties of the Second
Part .

WHEREAS, the Cities of Anaheim, Fullerton, Orange, Buena Park
and the Sanitary Districts of Garden Grove, Placentia and La Habra are
the owners of two (2) trunk sewer lines known and designated as the
Euclid Trunk Sewer Line and the Magnolia Trunk Sewer Line and appur-
tenant facilities maintained and used for the disposal of sewage in
Orange County, California; and
WHEREAS, for many years, they have amint&ined and operated
said trunk sewer lines as the Orange County Joint Outfall SEllreI' with
their own crews and facilities and have amintained a central office for
the purpose of keeping records, meeting payrolls, purchasing supplies
and doing and performing all other acts and things necessary for the
proper maintenance and operation of said trunk sewer lines; a.nd
NHEREAS, said Cities and Sanitary Districts now own all that
certain equipment hereinafter mentioned in "Exhibit A" hereto attached,
which said property aI!d equipment was acquired and has been used for the
maintenance, repair and upkeep of said trunk sewer lines and facilities;
and
WHEREAS, the Parties of the Second P&rt have submitted to the
Party of the First Part an offer to enter into a contract to furnish all
labor and perform all work necessary and required for the operation,
lIII.intenance and repair of said trunk sewer lines and facilities, as more
particularly hereinafter set forth, and said Cities and Sanitary Districts
comprising the Orange County Joint Outfall Sewer have, by resolutions
duly passed and adopted by their respective legislative bodies, found
and determined that said offer is fair and reasonable and to the
advantage and for the best interest of the members of the Orange County
Joint Outfall Sewer and should be accepted, and have authorized the
Party of the First Part, as contracting agent for said Cities and
Sanitary Districts, to enter into and execute an agreement with the
Parties of the Second Part to furnish all labor and to do and perform.
all work necessary or required for the proper maintenance, operation
and repair of said trunk sewer lines and facilities upon the terms and
conditions hereinafter set forth; and
WHEREAS, said Cities and Sanitary Districts have further
found and determined that it would be to the advantage and for the best
interest of said members of the Orange County Joint Outfall Sewer to
sell to the Parties of the Second Part the facilities now owned by the
Orange County Joint Outfall Sewer and used in the maintenance, operation
and repair of said trunk sewer lines and facilities for the price and
upon the terms hereinafter more particularly set forth.

NOli, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL CO-
VENANTS AND PROMISES OF THE PARTIES HERETO, IT IS HEREBY UNDERSTOOD
AND AGREED BY AND BETWEEN THEM AS FOLLOWS:

1. Party of the First Part does hereby agree to sell and
deliver to the Parties of the Second Part all of that certain personal
property and equipnent, more particularly mentioned and described on
"Exhibit A" hereto attached, for the sum of $15,101.14, payable as
follows, to wit: IN CASH
2. It is further understood and agreed that title to said
peraonal property and equipnent shall be, and is hereby, retained by
the Party of the First Part until the purehase price therefore shall
have been paid in full by the Parties of the Second Part and upon final
payment of the purchase price, title thereto shall be transferred to
the parties of the Second Part. The Parties of the Second Part shall
have, and are hereby given and granted, the right to purchase said
personal property and equipllent listed in "Exhibit Aft, hereto attached,
for the sum of $15,101.14
In the event of the death of the Parties of the Second Part in
a cOl1DllOn accident or disaster, or shall die within thirty (30) days of
each other, it is understood and agreed that the Party of the First Part
shall haTe the right to continue to use said personal property and equip-
ment for a period of sixty (60) days, in order to maintain said trunk
sewer lines and facilities until said equipllent can be replaced or a
purchase and transfer thereof from the legal representative or representa-
tives of the Parties of the Second Part can be consummated.
3. It is further understood and agreed that in the event the
Parties of the Second Part shall fail to perform any of the terms, condi-
tions or provisions of this contract, they shall, at the option of the
Party of the First Part, forfeit all right, title, interest, claim or
demand in or to said personal property and equipnent, provided, however,
that before declaring a forfeiture, the Party of the Firat Part shall give
said Parties of the Second Part thirty (30) days' notice to comply with
the terms, conditions or provisions deemed to be in default and upon the
failure of said Parties of the Second Part to comply within the time
specified, they shall forfeit all right, title, interest, claim or demand
in and to said property and equipment.
4. Parties of the Second Part agree to furnish the following
services; To perform all administrative functions in connection with plan-
ning, direction and coordination of the various activities of the Orange
County Joint Outfall Sewer as related to the IDlIlIItber Cities and Sanitary
Districts and as requested and as directed and to render the following
services:
(a) Handling public relations with governmental agencies
and legislative bodies dealing with sam.tation problems.
(b) Handling public relations with neighboring population.
(c) Informing and supplying the Cities and Sanitary Districts
with information on the problems relating to the disposal
of their sewage wastes.
(d) Making reports of needs for the proper and continued
operation of the sewerage system.

5. Parties of the Second Part further agree to furnish all
work and to do and perform all labor for the necessary and proper main-
tenance of the Euclid Trunk Line and the Magnolia Trunk Line and appurtenant
facilities. Maintenance is hereby defined to be maintenance as defined
in the supplemental joint agreement made and entered into by and between
the Cities and Sanitary Districts of the Joint Outfall Sewer on the 1st
day of April, 1954, plus the following services:
(a) Parties of the Second Part guarantee to repair and apply
protective coating to eight (8), but only eight (8),
structures on the Magnolia Line per year and furnish
materials and labor for the same.
(b) Similar services for the manholes on the Euclid Trunk
Line shall not be required to be furnished under this
contract, but will be made available by the Parties of
the Second Part under a separate contract when necessary.
6. Parties of the Second Part agree to perform all administrative
functions and to do and perform all work for the proper operation of
said trunk sewer lines and facilities. The term "operation" is hereby
defined as follows:
(a) Furnishing an office, equipment, labor and materials
(except chlorine) for the proper management and maintenance
of said trunk sewer lines and facilities.
(b) To furnish public liability, property damage and compensa-
tion insurance to caver all operations of the Parties of
the Second Part in the performance of this contract with
loss payable clauses to the Orange County Joint Outfall
Sewer, as its interest may appear.
(c) Parties of the Second Part shall not be required to furnish
insurance coverage for any of the chlorinator buildingsf or
equipment therein, or the buildings at Loara Street maint-
enanCe yard.
(d) To maintain chlorination stations and equipment, chlorine to
be furnished by the Orange County Joint Outfall Sewer.
7. The Parties of the Second Part agree to carry and maintain
life insurance in the sum of $30,000.00, payable to the City of Anaheim
as beneficiary in case of death of said Parties of the Second Part in
a common accident or disaster, or in case they both die within thirty
(30) days of each other during the term of this contract. In the event
that said Parties of the Second Part shall not perish in a common accident
or disaster, nor die within thirty (30) days of each other, then and in
that event the survlvor shall carry and maintain like insurance in a
like amount during the term of said contract.

8. That for the services, work and labor to be performed and
all other things to be done and performed under this agreement, the
Parties of the Second Part shall receive as full compensation, unless
otherwise agreed in writing, the sum of Forty-nine Thousand Dollars -
($49,000.00) per year, payable in monthly installments of Four Thousand
Eighty-three and 33/100 Dollars ($4,083.33), commencing on the 1st day
of August, 1956, and on the 1st day of each and every month thereafter
during the term of this contract.
10. It is further understood and agreed that should the
Parties of the Second Part fail to comply with all the terms, conditions

and provisions of this contract or to do and perform all of the work and
labor as herein provided, in the manner herein set forth, in a good and
workmanlike manner, they. shall, in addition to any other penalties
provided by law, be liable to the Party of the First Part for all losses
or damages that the Cities and Sanitary Districts of the Orange
County Joint Outfall Sewer may suffer on account thereof, subject, however,
to delays caused by reason of a suspension order by the Chief Engineer
of the City of Anaheim or because of any act or neglect of the City
or its officers or employees without contributory fault or neglect on the
part of the Parties of the Second Part, their agents or employees, or if
the work should be delayed by fire, storm, flood or other acts of God,
by war or acts of public enemies, by restriction of the use of,
procurement of or inabliity to obtain materials by strikes, by unusual
delay in transportation, unavoidable casulties or any cause beyond the
control or withoQtthe fault or neglect of the Parties of the Second
Part, or for any other reason which, in the opinion of the Chief Engineer
of the Party of the First Part, is proper justification for such delay.
11. It is expressly understood and agreed that the Parties
of the Second Part, in the furnishing of all services, labor and work and
the doing and performing of all acts or things provided for in this
contract, are acting as independent contractors and not as the agent,
Servant or employee of the City of Anaheim or any of the Cities or Sanitary
Districts of the Orange County Joint Outfall Sewer.

agreement that said agreement shall thereupon terminate upon the giving
by the Party of the First Part to the Parties of the Second Part of
ninety (90) days' written notice of such proposed sale or transfer.
IN WITNESS WHEREOF, the City Council of the City of Anaheim,
as contracting agent for the Cities of Anaheim, Fullerton, Orange,
and Buena Park and the Sanitary Districts of Garden Grove, Placentia,
and La Habra has caused this agreement to be subscribed by its Mayor
and City Clerk and said Parties of the Second Part have signed this agree-
ment the day and year first above wrttten.
