A RESOLUTION OF THE CITY COUNCIL OF THE CITY
OF ANAHEIM AUTHORIZING SALE OF CERTAIN REAL
PROPERTY AND AUTHORIZING THE EXECUTION OF A
CONVEYANCE THEREOF.
WHEREAS, the City of Anaheim is the owner of the
hereinafter described real property; and
WHEREAS, said real property is no longer needed
for municipal purposes; and
WHEREAS, Holly Manufacturing Company, a California
Corporation, has offered to purchase said real property for
the sum of 457,750.00 cash, lawful money of the United States,
said purchase price to be paid into escrow at All Service
Corporation, Anaheim Office, as follows: The sum of 35,775.00
at the time of the offer to purchase said property, and the
balance of said purchase price; namely, 451,975.00, to be de-
posited in escrow prior to February 11, 1955; and
WHEREAS, the City Council finds that it is for the
benefit and best interest of the City of Anaheim to accept
said offer and sell and convey said real property to said
Holly Manufacturing Company upon the terms and conditions
hereinafter specified.
NOW, THEREFORE, BE IT RESOLVED by the City Council
of the City of Anaheim that the offer of Holly Manufacturing
Company to purchase the hereinafter described real property
for the sum of X57,750, cash, lawful money of the United
States of America, be accepted upon the following terms and
conditions:
1. That the sum of 4p5,775.00 cash shall be placed
in escrow at All Service Corporation, Anaheim Office, at the
time of submission and acceptance of said offer to purchase,
and an additional sum of 451,975.00 cash shall be deposited
in said escrow prior to February 11, 1955; and the total amount
so paid into escrow, namely, 4p57, 750.00 shall be paid to the
City of Anaheim at the close of said escrow.
2. That said property shall be sold subject to all
conditions, restrictions, reservations, easements, rights and
rights -of -way of record.
3. That said property shall be sold subject to
taxes for the fiscal year 1954 -55, a lien not yet payable.
4. That the conveyance of said property shall in-
clude all oil, gas and mineral rights.
5. That the consummation of the sale of said prop-
erty shall be contingent upon the completion of certain escrows
numbered A- 3414 -15 -17 and 18, at All Service Corporation,
Anaheim Office.

AND BE IT FURTHER RESOLVED that the Mayor and the
City Clerk be, and they are hereby, authorized to execute a
good and sufficient deed conveying to Holly Manufacturing
Company, a California Corporation, the following described
real property situated in the City of Anaheim, County of
Orange, State of California, and more particularly described
as follows:
ATTEST:
The South ten (10) acres of the North twenty -five
(25) acres of the Southwest Quarter (SW4) of the
Northwest Quarter (NW of Section 8, Township 4
South, Range 10 West, S.B.B. M.
and to deliver said deed into escrow to be delivered to said
purchaser upon the completion of said escrow and the payment
of the full purchase price as hereinabove provided;
AND BE IT FURTHER RESOLVED that the City Clerk be,
and she is hereby, authorized and directed to certify to a
copy of this Resolution and cause the same to be attached
to the deed executed by the Mayor and the City Clerk.
THE FOREGOING RESOLUTION is signed and approved by
me this 25th day of January, 1955.

do hereby certify that the foregoing Resolution was passed and
adopted at a regular meeting of the City Council of the City of
Anaheim, held on the 25th day of January, 1951, by the following
vote of the members thereof.

Van Wagoner.
NOES: COUNCILMEN: None.
AND I FURTHER CERTIFY that the Mayor of the City of
