1954-2514-ARESOLUTION NO. 2514-A A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM EMPLOYING THE LAW FIRM OF O'MELVENY MYERS TO PREPARE ALL ORDINANCES, RESOLUTIONS, NOTICES AND OTHER DOCUMENTS REQUIRED IN THE PROPOSED $3,500,000 BOND ISSUE OF THE CITY OF ANAHEIM FOR WATERWORKS IMPROVEMENTS, SEWAGE DISPOSAL IMPROVEMENTS AND STREET IMPROVEMENTS; AND EMPLOYING SAID LAW FIRM TO SUPERVISE SAID PROCEEDINGS AND GIVE ALL NECESSARY INSTRUCTIONS IN CONNEC- TION THEREWITH; TO EXAMINE SAID PROCEEDINGS STEP BY STEP AS TAKEN; AND TO GIVE AN APPROV- ING OPINION TO THE PURCHASER OF SAID BONDS; AND r'iXING THEIR COMPENSATION. WHEREAS, the City Council is contemplating the sub- mission to the voters of the City of Anaheim of propositions for the authorization and issuance of bonds in the following amounts and for the following purposes: $1,)00,000 for Waterworks Improvements; 900,000 for Sewage Disposal Improvements; $1,200,000 for Street Improvements; AND WHEREAS, the City Council finds that it would be to the advantage and for the best interest of the City to employ the law firm of O'Melveny Myers to conduct all pro- ceedings for the authorization and issuance of said bond issues and to draft all ordinances, resolutions, notices and other documents required in said bond proceedings; and to generally supervise said proceedings, giving all necessary instructions in connection therewith; to examine all pro ceedings step by step as taken; and to issue an approving opinion to the purchaser of said bonds. NOW, THEREFORE BE IT RESOLVED that the law firm of 0 tMelveny Myers of 4 South Spring Street, Los Angeles 13, California be, and it is hereby, employed to conduct all proceedings for the authorization and the issuance of said bond issues hereinabove mentioned, and to do and perform all things necessary in connection therewith, as more particularly hereinabove set forth; and BE IT FURTHER RESOLVED that said law firm of O'Melveny Myers be compensated for such services as follows: That it shall receive 2 /10ths of 1% of the first §1,000,000 of the aggregate amount of the bonds authorized, and 1 /loth of i% of the balance thereof in excess of $1,000,000; and that said fee on the bonds that carry at the election will be payable 1/2 thereof following the canvass of the election returns, and the other 1/2 thereof following the sale of the bonds or portion there- of. That if said propositions submitted to the voters, or any of them, fail at the election, said OtNelveny -1- AND BE IT FURTHER RESOLVED that said O'Melveny Myers shall be paid and reimbursed for their out -of- pocket expenses in connection with any long distance telephone calls, messenger charges or similar expenses reasonably and neces- sarily incurred in connection with said bond issues. THE FOREGOING RESOLUTION is signed and approved by me this 31st day of August, 1954. ATTEST: Myers shall be compensated as follows: They shall receive a fee of X750 if one or two of such propositions fail, or x1,000 if all three propositions shall fail to be approved by the voters at said election, such fee to be paid fol- lowing the canvass of the election re- turns; eL et z c. -.c.
