TO TRUST AGREEMENT AND DIRECTING EXECUTION THEREOF

RESOLVED, ORDERED AND DETERMINED by the City Council of the City of
Anaheim, California, that that certain Supplement Agreement No. 1 to Trust 7Agreement,
attached hereto and by this reference incorporated herein, be and is hereby approved
and that the Mayor is hereby authorized and directed to execute said Supplemental
Agreement No. 1 to Trust Agreement and the City Clerk is hereby authorized and
directed to attest to the Mayor's signature and to affix the seal of the City thereto.
