CUTr SAID LETTER AGREEFIENT.
WHEREAS, Southern California Edison Corpan,;y. (hereinafter
"SCE is studying the feasibility of a no- :er =generation project
called the California Coal Project (hereinafter "Project and
WHEREAS, SCE. has invited public and private utilities
including the City of Anaheim to participate in the study of the
Project; and
WHEREAS, it is in the best interests of the City of
Anaheim to include the Project in its Potential resource elan;
and
WI IEREAS, a Letter Agreement has been prepared.., the terms
and conditions of which are acceptable to the City Council of the
City of Anaheim.

BE IT FURTHER RESOLVED that the Public Utilities General
Manager be, and he is hereby, authorized and directed. to execute
