A RESOLUTION AUTHORIZING APPROVAL OF MODIFIED
PRELIMINARY OFFICIAL STATEMENT AND OFFICIAL NOTICE OF SALE
AND AUTHORIZING AND DIRECTING CERTAIN ACTIONS WITH RESPECT THERETO

RESOLVED, by the City Council of the City of Anaheim, California, as
follows:
WHEREAS, on July 16, 1985, this Council by resolution approved a
Preliminary Official Statement (the "Preliminary Official Statement")
pertaining to Certificates of Participation (Capital Improvements Project C>
Evidencing a Proportionate Interest of the Owners Thereof in Lease Payments to
be Made by the City of Anaheim, California to Anaheim Public Improvement
Corporation (the "Certificates") and an Official Notice of Sale and called for
bids for the sale of the Certificates;
WHEREAS, this Council on the date hereof has determined to increase the
principal amount of the Certificates in order to provide funds for additional
capital improvements within the City; and
WHEREAS, it is necessary and desirable that the Preliminary Official
Statement and Official Notice of Sale be modified to reflect said increased
principal amount and modifications to procedures and legal documents caused by
said additional funding and the .City's financial advisor has undertaken to
prepare such modifications with the advice of the City's special counsel;
NOW, THEREFORE, it is hereby ORDERED AND DETERMINED, as follows:
1. The Finance Director of the City is authorized to approve the
Preliminary Official Statement and Official Notice of Sale modified as
hereinabove stated and Merrill Lynch Capital Markets, on behalf of the City
and as financial advisor to the City, is authorized to cause the Preliminary
Official Statement and Official Notice of Sale to be distributed to such
municipal bond underwriters and banking institutions and to such other persons
as may be interested in purchasing the Certificates.
2. Jones Hall Hill & White, A Professional Law Corporation, as special
counsel to the City, is authorized to modify the heretofore published Notice
of Intention to Sell Certificates as appropriate, to cause the modified Notice
of Intention to be published in accordance with Section 53692 of the
California Government Code and to provide notice 'to the California Debt
Advisory Commission of the modified principal amount of the Certificates.
3. Following the receipt of bids on the sale of the Certificates and
award by this Council of said sale, the Finance Director is authorized and
directed to cause the Preliminary Official Statement to be placed in the form
of a final Official Statement for approval by this Council.
THE FOREGOING RESOLUTION is approved and adopted by the City Council of
the City of Anaheim this 23rd day of July, 1985.
