3 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM,
4 CALIFORNIA APPROVING THE FORM OF AMENDMENT N0. 3
5 TO THAT~CERTAIN REVOLVING CREDIT AGREEMENT BY AND BETWEEN
6 CITY OF ANAHEIM AND BANK OF AMERICA NATIONAL TRUST
7 AND SAVINGS ASSOCIATION DATED JUNE 1, 1983
8 (AS HERETOFORE AMENDED).

10 WHEREAS, the City Council of the City of Anaheim (the
11 "City") at its meeting on April 27, 1983, adopted a Resolution,
12 designated as Resolution No. 83R-170, approving the form of a
13 Revolving Credit Agreement and authorizing the execution and
14 delivery thereof; and
15 WHEREAS, the City Council of the City at its meeting on
16 August 28, 1984, adopted a Resolution, designated as Resolution
17 No. 84R-332, approving the form of an Amendment No. 1 to
18 Revolving Credit Agreement and authorizing the execution and
19 delivery thereof; and
20 WHEREAS, the City Council of the City at its meeting on
21 November 6, 1984, adopted a Resolution, designated as Resolution
22 No. 84R-442, approving the form of an Amendment No. 2 to
23 Revolving Credit Agreement and authorizing the execution and
24 delivery thereof; and
ZS WHEREAS, the City and Bank of America National Trust and
26 Savings Association (the "Bank") have heretofore entered into the
27 Revolving Credit Agreement dated June 1, 1983, Amendment No. 1 to

1 Revolving Credit Agreement dated September 19, 1984 and Amendment
2 No. 2 to Revolving Credit Agreement dated November 6, 1984
3 (together, the 'Revolving Credit Agreement"); and
4 WHEREAS, the City Council has determined that it is nec-
5 essary and desirable that the City Council approve the form and
6 authorize execution and delivery of an Amendment No. 3 to
7 Revolving Credit Agreement to be dated the date of delivery
8 thereof.
9 NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF ANAHEIM
10 DOES HEREBY RESOLVE, DETERMINE AND ORDER AS FOLLOWS:
11 S~CTIOp 1. The form, terms and provisions of Amendment
12 No. 3 to Revolving Credit Agreement, in substantially the form
13 submitted to this meeting, are hereby approved and adopted as
14 part of this Resolution. The Mayor of the City and the City
15 Clerk are hereby authorized and directed to, respectively, exe-
16 cute and deliver and attest and seal said Amendment No. 3 in
17 substantially the form submitted to this meeting with such
18 changes, insertions and omissions as the Mayor shall approve,
19 such approval to be conclusively evidenced by his execution of
20 such Amendment.
21 SSCTIOI~ 2. In Amendment No. 3 to Revolving Credit
22 Agreement the .Bank will agree to the amendments of the Revolving
23 Credit Agreement contained in said Amendment. The City Council
,.~,. 24 hereby finds, determines and declares that said Amendment when
25 executed and delivered will not adversely affect the rights of
26 the holders of any of the City's outstanding Electric Revenue

Anticipation Notes and Water Revenue Anticipation Notes who have
not consented to said Amendment.
SECTION 3. This Resolution shall be effective
immediately.
