1982-257CITY OF ANAHEIM RESOLUTION NO. 82R -257 RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ANAHEIM, CALIFORNIA, AMENDING RESOLUTION NO. 82R -238 OF THE CITY COUNCIL TO AMEND THE REDEMPTION TERMS OF THE CITY'S ELECTRIC REVENUE BONDS, ISSUE A OF 1982 AND ISSUE B OF 1982. WHEREAS, on May 7, 1982, the City Council of the City of Anaheim, California adopted its Resolution No. 82R -238 providing for the issuance of $18,000,000 Electric Revenue Bonds, Issue A of 1982 and $52,000,000 Electric Revenue Bonds, Issue B of 1982; and WHEREAS, the City Council desires to amend Resolution No. 82R -238 to amend the redemption terms of the Bonds; NOW, THEREFORE, the City Council of the City of Anaheim, California, DOES HEREBY RESOLVE, DETERMINE AND ORDER as follows: SECTION 1. Section 9 of Resolution No. 82R -238 is hereby amended to read as follows: "SECTION 9. Redemption of Bonds. The 1982 B Bonds maturing on or after October 1, 1988 may be redeemed prior to maturity, at the option of the City, on October 1, 1987, or on any interest payment date thereafter, in whole or in part, at the following redemption prices, expressed as a percentage of the principal amount, together with accrued interest to the date of redemption: Redemption Dates (April 1 and October l) Redemption Price 1987 (October 1 only) - 1988 103 % 1989 - 1990 102 1/2 1991 - 1992 102 1993 - 1994 101 1/2 1995 -1996 101 1997 - 1998 100 1/2 1999 and thereafter 100 "The 1982 A Bonds maturing on or after October 1, 1988 may be redeemed prior to maturity, at the option of the City, on October 1, 1987, or on any interest payment date thereafter, in whole or in part, at 100% of the principal amount thereof, together with accrued interest to the date of redemption. "The Bonds are also subject to mandatory sinking fund redemption prior to maturity at the principal amount thereof plus accrued interest to the redemption date as provided in Section 13 hereof. "All or any of the Bonds subject to redemption may be called for redemption at any one time. If less than all of the Bonds are redeemed at any one time, such Bonds shall be redeemed in inverse order of maturity and by lot within each maturity. The interest payment date on which Bonds which are called are to be presented for redemption is herein sometimes called the 'redemption date'." SECTION 2. The first two paragraphs under the caption "PROVISIONS FOR REDEMPTION" in Section 24 of Resolution No. 82R -238 are hereby amended to read as follows: "If this is a 1982 B bond and matures on or after October 1, 1988, it is redeemable in the manner and subject to the terms and provisions, and with the effect, set forth in the Resolution referred to on the face of this bond, at the option of the City, on October 1, 1987, or on any interest payment date thereafter prior to maturity, upon at least 30 days' prior notice published in a newspaper of general circulation in the County of Los Angeles, California, and in a financial newspaper or journal of national circula- tion published in or near the City of New York, New York, and, if this bond is registered, upon the mailing of a similar notice to the registered owner hereof, at the following redemption prices, expressed as a percentage of the principal amount, together with accrued interest to the date of redemption: Redemption Dates (_April l and October 1) Redemption Price 1987 (October 1 only) - 1988 103 % 1989 - 1990 102 1/2 1991 - 1992 102 1993 - 1994 101 1/2 1995 - 1996 101 1997 - 1998 100 1/2 1999 and thereafter 100 "If this is a 1982 A bond and matures on or after October 1, 1988, it is redeemable in the manner and subject to the terms and provisions, and with the effect, set forth in the Resolution referred to on the face of this bond, at -2- -- the option of the City, on October 1, 1987, or on any interest payment date thereafter prior to maturity, on notice as described above, at 1000 of the principal amount together with accrued interest to the redemption date." SECTION 3. This Resolution shall take effect upon adoption. Except as amended hereby, Resolution No. 82R -238 shall remain in full force and effect.
