RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
ANAHEIM APPROVING THE TERMS AND CONDITIONS,
AND AUTHORIZING THE EXECUTION AND DELIVERY, OF
CERTAIN AGREEMENTS WITH RESPECT TO THE MEAD-
PHOENIX PROJECT AND THE MEAD-ADELANTO PROJECT
WHEREAS, the public agencies identified on Exhibit A
attached hereto and incorporated herein by reference, have
participated in studying the feasibility of (i) a proposed
transmission line project consisting of a 500 kV AC transmission
line from a new substation ("Marketplace Substation") to be
constructed adjacent to the existing McCullough switching Station
in the Las Vegas, Nevada area to the existing Westwing Substation
in the Phoenix, Arizona area, together with related facilities (the
"Mead-Phoenix Project"), and (ii) a proposed transmission line
project consisting of a 500 kV AC transmission line to be
constructed from the Marketplace Substation to the existing
Adelanto Switching Station in the Adelanto, California area,
together with related facilities (the "Mead-Adelanto Project"); and
WHEREAS, the city of Anaheim desires to participate in
the Mead-Phoenix Project and the Mead-Adelanto Project as provided
in the agreements named below its name on Exhibit A hereto (the
"Subject Agreements"); and
WHEREAS, it is in the best interests of the City of
Anaheim to execute and deliver the Subject Agreements.
NOW THEREFORE~ BE IT RESOLVED by the city Council of the
City of Anaheim:
1. The terms and provisions of the Subject Agreements
with respect to the City of Anaheim, in the forms submitted to the
City Council, are hereby approved, and the city Council of the City
of Anaheim hereby directs the Public Utilities General Manager to
execute and deliver the Subject Agreements in accordance with the
terms and provisions thereof, with such changes, insertions and
omissions as may be approved by the Public Utilities General
Manager, said execution being conclusive evidence of such approval.
2. Each official of the City of Anaheim is hereby
authorized and directed to execute and deliver any and all
documents and instruments and to do and cause to be done any and
all acts and things necessary or proper for carrying out the
transactions contemplated by this Resolution.
3. This Resolution shall take effect immediately.
THE FOREGOING RESOLUTION is approved and adopted by the
City Council of the City of Anaheim this 19th day of
November. , 1991.
