A RESOLUTION CONSENTING TO FIFTH AMENDMENT TO
INDENTURE OF TRUST

RESOLVED, ORDERED AND DETERMINED by the Anaheim Redevelopment
Agency that that certain Fifth Amendment to Indenture of Trust, by and between The
Bank of New York, as trustee, and the Local Government Finance Authority is, in
accordance with Section 6.04 of the Loan Agreement, dated as of September 1, 1988, by
and among the Anaheim Redevelopment Agency, The Bank of New York, as Trustee,
and the Local Government Finance Authority, relating to Local Government Finance
Authority Revenue Bonds (California Local Agency -- Anaheim Redevelopment Agency),
1986 Issue A, be and is hereby consented to by the Agency and the Secretary of the
Agency is hereby authorized and directed to execute a consent to the Fifth Amendment
to Indenture of Trust indicating the consent by the Agency hereby given.
I hereby certify that the foregoing resolution was duly adopted at a meeting of the
Anaheim Redevelopment Agency duly held on the ~,th day of May, 19~70, by the
