A RESOLUTION OF THE ANAHEIM REDEVELOPMENT
AGENCY APPROVING THE PRELIMINARY OFFICIAL
STATEMENT AND AUTHORIZING AND DIRECTING
CERTAIN ACTIONS WITH RESPECT THERETO.
WHEREAS, the Anaheim Redevelopment Agency ( "Agency ")
proposes to issue its Residential Rehabilitation Mortgage Revenue
Bonds, 1980 Series A (the "Bonds ");
WHEREAS, the proposed underwriter for the Bonds, Bache
Halsey Stuart Shields, Incorporated, has prepared and presented to
this Agency a Preliminary Official Statement containing information
material to the offering and sale of the Bonds; and
WHEREAS, this Agency, with the aid of its staff, has
reviewed the Preliminary Official Statement and has made such cor-
rections and additions thereto as it deems proper.

NOW, THEREFORE, IT IS hereby DETERMINED and ORDERED, as
1. The facts contained in the Preliminary Official
Statement are true and correct in all material respects and the
Preliminary Official Statement contains no untrue statement of
a material fact necessary to make a statement therein not mislead-
ing in light of the circumstances under which it was made, provided,
however, that the Preliminary Official Statement does not contain
final interest rates on the Bonds.
2. The Preliminary Official Statement is approved for distri-
bution in the offering and sale of the Anaheim Redevelopment Agency
Residential Rehabilitation Mortgage Revenue Bonds, 1980 Series A.
3. The Executive Director or other qualified officer of the
Agency is authorized to approve corrections and additions to the
Preliminary Official Statement by supplement or amendment thereto,
or otherwise as appropriate, provided that any such corrections or
additions shall be necessary to cause the information contained
therein to conform with facts material to the Bonds or to the pro-
ceedings of this Agency or such corrections or additions as are in
form rather than in substance.
4. The Agency's proposed underwriters, on behalf of the
Agency and its Executive Director, are authorized and directed to
cause the Preliminary Official Statement to be distributed to such
municipal bond broker - dealers, to such banking institutions and to
such other persons as may be interested in purchasing the Bonds
referred to therein.

5. The Executive Director or other appropriate officer of
the Agency is authorized and directed to cause the Preliminary
Official Statement to be placed in the form of a Final Official
Statement by inserting the interest rates on the Bonds determined
pursuant to the award of the Agency of the sale of the Bonds and
other additional information as deemed appropriate; and to execute
and cause to be delivered to the purchaser of the Bonds said Final
Official Statement, dated as of the date of sale of the Bonds, and
a statement that the facts contained in the Final Official Statement,
and any supplement or amendment thereto (which shall be deemed an
original part thereof for the purpose of such statement) were, at
the time of sale of the Bonds, are are, as of the date of delivery
of the Bonds, true and correct in all material respects and that
the Final Official Statement did not, at the date of sale of the
Bonds, and does not, as of the date of delivery of the Bonds, con-
tain any untrue statement of a material fact or omit to state
material facts required to be stated where necessary to make a state-
ment not misleading in light of the circumstances under which it was
made. The signer shall, with the aid of the staff of the Agency,
take such further actions prior to the signing of the statement as
are deemed necessary or appropriate to verify the accuracy of the
statement.
THE FOREGOING RESOLUTION is approved and adopted by
the Anaheim Redevelopment Agency this 12th day of November, 1980.
