AHA-1979-006RESOLUTION NO. AHA79 -6
A RESOLUTION OF THE ANAHEIM HOUSING
AUTHORITY APPROVING AN AMENDMENT TO THE
BY -LAWS OF THE ANAHEIM HOUSING AUTHORITY
CONCERNING ABSTENTIONS FROM VOTING.
WHEREAS, Section 507 of the By -Laws for the Anaheim
Housing Authority relates to number of members necessary to con-
stitute a quorum and to take action; and
WHEREAS, said By -Laws do not provide a rule of proce-
dure regarding the legal effect of abstentions from voting on
issues; and
WHEREAS, it is desirable to amend Section 507 by adding
a provision regarding the legal effect of abstentions from voting;
and
WHEREAS, all Authority Members have received seven (7)
days' written notice of the nature of this proposed amendment to
the By -Laws.
NOW, THEREFORE, BE IT RESOLVED that Section 507 of the
By -Laws for the Anaheim Housing Authority be, and it is hereby,
amended in its entirety, to provide as follows:
"Section 507. Quorum; Action Taken; Abstentions
A majority of the Members of the Authority shall
constitute a quorum for the purpose of conducting
its business, exercising its powers, and for all
other purposes. A smaller number of Authority
Members may adjourn a meeting from time -to -time
until a quorum is present.
Action may be taken by the Authority only upon a
favorable vote of the majority of the total number
of Authority Members.
In the event that one less than the necessary number
of 'aye' votes required to pass any motion or resolu-
tion has been cast (including any tie vote situation),
then any 'abstain' vote or votes shall constitute
concurrence and the Secretary shall set forth in the
minutes that the matter was passed pursuant to this
paragraph; provided, however, that this rule shall
not apply where an abstention was legally required
because of a conflict of interest within the meaning
of the Political Reform Act of 1974.11
THE FOREGOING RESOLUTION is approved and adopted by the
Anaheim Housing Authority this 7th day of August, 1979.
